The <a href="https://www.benzinga.com/etfs">retail proxy ETF market</a>, so hotly followed, is getting shaken. This is how leading funds are positioned in response to the prevailing mood:

What&#8217;s Happening In the Retail World?
Target (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TGT#NYSE">TGT</a>) took the cautionary lead, reducing its full-year earnings estimate to $7.00–$9.00 a share, from an earlier $8.80–$8.90. The firm <a href="https://www.benzinga.com/25/05/45540759/target-stock-slips-as-q1-earnings-miss-estimates-fy2025-outlook-cut-amid-slowing-sales">fell short of the top- and bottom-line estimates </a>with sales of $23.85 billion that missed the consensus and decreased by 2.79% YoY. Management attributed the marked decline in discretionary spending and the more conservative U.S. consumer. The company stock was down 5.2% on Wednesday.
Meanwhile, Lowe's (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LOW#NYSE">LOW</a>) narrowly beat earnings expectations with $2.92 per share but posted a 2.03% YOY <a href="https://www.benzinga.com/25/05/45548489/jpms-take-on-lowes-mixed-q1-highlights-weather-headwinds-and-gross-margin-strength">decline in revenue</a>. The retailer maintained its full-year guidance, signaling steady, if uninspiring, confidence. Its message echoed Target's: high interest rates and economic uncertainty are reshaping consumer priorities. LOW was down 1.7% on Wednesday.
TJX Companies (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/TJX#NYSE">TJX</a>) <a href="https://www.benzinga.com/news/earnings/25/05/45540766/tjx-boosts-q1-sales-with-more-shoppers-says-tariffs-wont-hurt-2026-outlook">stood firm on its perspective</a>, subject to existing tariff rates not changing. That position, though, did little to support shares, which declined 2.8% in tandem with peers. Walmart and Home Depot, in prior comments, emphasized the pricing squeeze of fresh tariffs, with Walmart cautioning for potential increases while Home Depot vowed to cover costs.
Tariffs, Yields, And The Retailer&#8217;s Dilemma
The macro backdrop is compounding retail headwinds. The 10-year Treasury yield climbed toward 4.6% and the 30-year breached 5% after a lackluster $16 billion auction in 20-year bonds, stoking fears of a higher-for-longer rate regime. With borrowing costs elevated, big-ticket purchases and home improvement projects are being shelved, a scenario confirmed by Lowe's soft revenue.
Tariffs are the other elephant in the shopping aisle. Retailers facing Chinese imports are rethinking pricing and supply chain strategies, but consumers have only so much tolerance for higher prices. Walmart&#8217;s caution is in stark contrast with Target&#8217;s vow to keep increases in check, a risk that could strain margins.
A Sector In Search Of A Spark
Retail ETFs continue to be a gauge of consumer spending and attitudes. The prevailing story—declining foot traffic, lagging discretionary sales, and economic conservatism—supports the view that funds such as XRT and RTH could be stuck in their ranges or lag unless attitudes shift or there are earnings surprises.
The bright spots? Retailers doubling down on digital tools, delivery innovation, and loyalty perks may insulate themselves from broader weakness. Investors should watch for ETF managers rebalancing exposure toward more resilient names—especially those boosting digital margins or catering to professional buyers, as Lowe's is attempting.
With warning lights flashing on the U.S. consumer horizon, retail ETFs are taking a hit. Investors would be wise to follow not only earnings, but forward guidance and how retailers are responding. In a more discerning market than ever, the right retail exposure may be the difference-maker.

American Superconductor (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AMSC#NASDAQ">AMSC</a>) reported quarterly earnings of $0.12 per share which beat the analyst consensus estimate of $0.10 by 20 percent. This is a 140 percent increase over earnings of $0.05 per share from the same period last year. The company reported quarterly sales of $66.66 million which beat the analyst consensus estimate of $60.27 million by 10.60 percent. This is a 58.60 percent increase over sales of $42.03 million the same period last year.

Entrepreneur, investor and Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>) bull Anthony Pompliano has a new SPAC targeting the financial services sector and perhaps a company <a href="https://www.benzinga.com/markets/cryptocurrency/25/04/44833876/bitcoin-to-outperform-gold-in-coming-months-says-anthony-pompliano">dealing with cryptocurrency. </a>
While the SPAC could target the cryptocurrency space, Pompliano said that's not a definite yes.
The SPAC: Pompliano took Pro Cap Acquisition (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PCAPU#NASDAQ">PCAPU</a>) public this week, <a href="https://www.benzinga.com/topic/spacs">a SPAC </a>that raised $220 million in an upsized offering at $10 each.
Each SPAC includes one-third of a warrant, which will trade with ticker PCAPW. Common shares will <a href="https://www.sec.gov/Archives/edgar/data/2056634/000121390025037771/ea0230984-04.htm">trade </a>as PCAP after the units split.
In an <a href="https://x.com/APompliano/status/1925183818161426704">interview </a>with CNBC Wednesday, Pompliano said the timing was right to launch his SPAC after being approached by investors for five years.
Pompliano said he didn't see strong demand from the private market until six months ago and highlighted changing regulation as a reason to create the SPAC. The investor also said that there were a lot of good companies created between 2015 and 2020 that may be ready to go public.
The SPAC lists Pompliano as the CEO, director, and sole managing member of the sponsor ProCap Acquisition Sponsor, LLC. 
Prior to his current role as founder and CEO of Professional Capital Management, Pompliano was the co-founder and managing partner of Full Tilt Capital, which was acquired by Morgan Creek Digital Assets in 2018. 
Pompliano was also managing partner of Morgan Creek Digital Assets from 2018 to 2020. According to his website, he made notable investments in Lyft, Liquid Death, Placer.ai, Coinbase, SpaceX, Airbnb, Reddit, and eToro.

<h3 class="wp-block-heading">Target Market</h3>
Pompliano said the target market for his SPAC is financial services, fintech and places where he can use his media presence to boost the company.
The investor has 1.7 million followers on X, his own show on X, and an investment newsletter read by hundreds of thousands of people.
Pompliano said the SPAC is looking for a cash flow-positive company that has a bright future.
"If you do a good deal at a good price, it doesn't matter who the sponsor is," Pompliano said.
The investor told CNBC that he has "skin in the game" and taking a huge "reputational risk" with the SPAC offering and merger.
Pompliano said his very public figure means that he can't be an SPAC sponsor who sells the shares and disappears, adding, &#8220;My reputation's on this."
The plan, he says, is to stick around and create shareholder value for whichever company Pro Cap Acquisition merges with. "This is not a do the transaction and walk away.&#8221;
CNBC host Andrew Ross Sorkin asked if many investors are expecting Pompliano to do a crypto-related merger given his experience in the sector.
"We're very interested in financial services," Pompliano said.
The investor said the new digital world is merging with companies like Robinhood and Kraken offering access to public equities and cryptocurrency.
Pompliano said he wouldn't go out and say they are buying a crypto-related company, but wouldn't rule it out, telling Sorkin that most financial services companies are already touching crypto in some way.
<h3 class="wp-block-heading">The Management Team</h3>
Also taking part in the CNBC interview Wednesday was Bausch + Lomb CEO Brent Saunders, who is serving as a special advisor to the SPAC.
Pompliano said he's been friends with Brent for years, which includes Saunders investing in his company. Saunders joined as an advisor for the SPAC.
Along with his experience leading healthcare companies, Saunders has experience in the mergers and acquisitions space, something that Pompliano highlighted in the interview. Saunders has overseen over 80 deals worth $300 billion according to the SPAC's prospectus.
Saunders previously led a SPAC<a href="https://www.benzinga.com/exclusives/21/06/21557663/exclusive-beauty-health-company-ceo-clint-carnell-on-companys-decision-to-go-public-international-ex"> that merged with HydraFacial</a>. The new entity goes by Beauty Health (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SKIN#NASDAQ">SKIN</a>). The merger closed in 2021 and shares trade at $1.56 today, down around 85% over the last five years.
<h3 class="wp-block-heading">Return of SPACs</h3>
Sorkin pressed Pompliano and Saunders about the past negatives of the SPAC market.
Pompliano said SPACs got a bad name because people were doing public venture capital deals with high valuations on companies losing money.
The SPAC from Pompliano comes after a recent offering from two people who helped bring Trump Media &amp; Technology Group public and are now trying to <a href="https://www.benzinga.com/news/ipos/25/05/45448399/trump-insiders-want-a-piece-of-crypto-spac-action-is-a-merger-coming">acquire a company</a> in the cryptocurrency space.
Renatus Tactical Acquisition Corp I (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/RTACU#NASDAQ">RTACU</a>) recently went public with a $210 million offering. The SPAC counts Eric Swider and Devin Nunes as names involved in the sponsor companies of the SPAC deal.
That offering follows several recent mergers in the cryptocurrency space including Bitcoin holding company&nbsp;Twenty One&nbsp;<a href="https://www.benzinga.com/markets/cryptocurrency/25/04/44975441/cantor-fitzgerald-backed-twenty-one-launches-strategy-rival-at-3-billion-valuation" target="_blank" rel="noreferrer noopener">announcing a SPAC merger</a>&nbsp;with&nbsp;Cantor Equity Partners&nbsp;(NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CEP#NASDAQ">CEP</a>). The company has a &nbsp;target of holding 42,000 Bitcoin. The merger includes backing from&nbsp;Tether, SoftBank Group&nbsp;and&nbsp;Jack Mallers,&nbsp;who will serve as CEO. After the merger, the company will trade as &#8220;XXI&#8221; on the Nasdaq and could be one of the largest public holders of Bitcoin.

This strategic acquisition aligns with Telef&oacute;nica&#39;s regional repositioning and enables Millicom to consolidate its leadership position in South America.
Millicom expects the transaction to be&nbsp;EFCF accretive as early as 2026, driven by operational efficiencies and integration with its existing regional footprint. Millicom To Acquire Telefónica's Operations In Uruguay For $440M

Lumen Technologies Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LUMN#NYSE">LUMN</a>) shares are soaring in Wednesday&#8217;s after-hours session after the company announced the sale of its consumer fiber-to-the-home business <a href="https://www.benzinga.com/pressreleases/25/05/b45552097/lumen-technologies-advances-enterprise-market-focus-with-sale-of-consumer-fiber-to-the-home-busine">to AT&amp;T Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/T#NYSE">T</a>)</a>.
What Happened: Lumen entered into a definitive agreement with AT&amp;T to sell its mass market fiber-to-the-home business in 11 states for $5.75 billion in cash. The deal includes approximately 95% of Quantum Fiber, approximately four million enablements and close to one million subscribers. The company said it marks another step in Lumen&#8217;s transition to an enterprise digital networking company.
&#8220;We are sharpening our focus on enterprise customers, and this transaction enhances our financial flexibility, enabling us to reimagine networking for enterprises in a multi-cloud, AI-first world,&#8221; said Kate Johnson, president and CEO of Lumen.
&#8220;As part of this deal, we are retaining the core infrastructure that allows us to continue innovating for enterprise customers, leapfrogging traditional networking architectures to give customers the bandwidth, performance, and security they need.&#8221;
Lumen said it expects to build out new fiber enablements through the end of 2025 at a similar pace to 2024. The company will retain all national, regional-, state- and metro-level fiber backbone network infrastructure, central offices and associated real estate. These assets will continue to serve as the foundation of the company&#8217;s enterprise transformation.
The transaction is expected to close in the first half of 2026. Upon closing, Lumen intends to use net proceeds of approximately&nbsp;$4.2 billion to pay down debt. 
Lumen shares surged on the news. AT&amp;T shares were also up about 0.25% in after-hours at last check.
LUMN Price Action: <a href="http://benzinga.com/quote/LUMN">Lumen Technologies shares</a> were up 14.96% in after-hours Wednesday, trading at $4.38 at the time of publication, according to<a href="http://pro.benzinga.com"> Benzinga Pro</a>.
