The company ended the quarter with 7.78 million total Pay-TV subscribers, including 5.69 million DISH TV subscribers and 2.09 million Sling TV subscribers, due to&nbsp;the decrease in net DISH TV and net Sling TV subscriber losses due to lower subscriber disconnects in 2024, which resulted from the company&#8217;s emphasis on acquiring higher-quality subscribers.
The company ended the third quarter with 883,000 Broadband Satellite subscribers, a loss of about 29,000 compared to 59,000 in the same period last year. This decrease in net Broadband Satellite subscriber losses was primarily due to lower subscriber disconnects from the new EchoStar XXIV (Jupiter 3) satellite service launch.
The company held cash and equivalents worth $5.7 billion and inventory worth $455.2 million as of December 31.
The company&#8217;s long-term debt, finance lease, and other obligations, net of the current portion, totaled $25.66 billion.
CEO Hamid Akhavan acknowledged improvements in all of its lines of business and achieved its plan of ending the year by delivering positive free cash flow. He also acknowledged notable developments in the company&#8217;s wireless business. Excluding the impact of ACP, efforts resulted in consecutive quarter-over-quarter net positive subscriber growth since the first quarter of 2024.

DIRECTV announced Friday it would terminate its agreement to acquire EchoStar Corp&#8217;s (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SATS#NASDAQ">SATS</a>) <a href="https://www.prnewswire.com/news-releases/directv-announces-termination-of-agreement-to-acquire-echostars-video-distribution-business-302313823.html" target="_blank" rel="noreferrer noopener">video distribution business, DISH DBS</a>. 
The decision follows DISH DBS noteholders&#8217; refusal to accept EchoStar&#8217;s proposed Exchange Debt Offer Terms, a critical condition for the deal to proceed.

DirecTV CEO Bill Morrow said &#8220;the proposed Exchange Terms were necessary to protect DirecTV&#8217;s balance sheet and our operational flexibility.&#8221;
DirecTV <a target="_blank" href="https://www.benzinga.com/news/24/09/41094002/echostar-stock-dives-on-directv-dish-deal-the-details" rel="noreferrer noopener">agreed to acquire</a> EchoStar&#8217;s video business for $1 and assume Dish DBS&#8217;s net debt. The companies launched an exchange offer for five Dish DBS note series totaling approximately $9.75 billion in face value.
DirecTV plans to continue investing in next-generation streaming technologies and developing new packaging options integrating live TV with direct-to-consumer platforms. The company aims to provide customers with enhanced flexibility and tailored content options that align with evolving viewer preferences.
The termination of the DISH acquisition does not impact TPG&#8217;s plan to purchase the remaining 70% stake in DirecTV from AT&amp;T Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/T#NYSE">T</a>), which remains scheduled to close in the second half of 2025. This strategic move is expected to strengthen DirecTV&#8217;s market positioning further.

EchoStar Corporation (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SATS#NASDAQ">SATS</a>) shares are <a target="_blank" href="https://www.benzinga.com/premarket" rel="noreferrer noopener">trading lower on Tuesday.</a>
The company reported third-quarter loss per share of 52 cents, missing the<a target="_blank" href="https://www.benzinga.com/pressreleases/24/11/n41897936/echostar-announces-financial-results-for-the-three-and-nine-months-ended-september-30-2024" rel="noreferrer noopener"> analyst consensus loss estimate of 37 cents</a>. Quarterly sales of $3.890 billion (down 5.3% year over year) missed the street view of $3.909 billion.
In the third quarter, Net Pay-TV subscribers dropped by about 43,000, while Sling TV gained 145,000 subscribers. The company ended the quarter with 8.03 million total Pay-TV subscribers, including 5.89 million DISH TV subscribers and 2.14 million Sling TV subscribers.

The company ended the third quarter with 912,000 Broadband Satellite subscribers, a loss of about 43,000 in the quarter, compared to 59,000 lost in the same period last year. The smaller loss was due to the launch of the new EchoStar XXIV satellite and higher demand for new service plans. However, the third quarter was affected by the end of ACP program funding on June 1.
The company exited the quarter with cash and equivalents worth $2.8 billion and inventory worth $441.68 million.
The company&#8217;s long-term debt, finance lease, and other obligations, net of the current portion as of the end of the quarter, totaled $21.557 billion.
&#8220;We secured financing to meet our November debt maturity and announced an agreement with a group of our convertible note&nbsp;holders. This last transaction provides approximately&nbsp;$5.2 billion&nbsp;in additional financing and extends payment terms for the existing convertible notes tendered,&#8221; Akhavan added.
In addition, the company recently agreed to sell its pay-TV business to DIRECTV, subject to successful <a target="_blank" href="https://www.benzinga.com//node/41094002" rel="noreferrer noopener">completion of an ongoing exchange and other closing conditions.</a>
