Seabridge Gold Inc. (TSX:<a class="ticker" href="https://www.benzinga.com/stock/SEA#TSX">SEA</a>) (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SA#NYSE">SA</a>) ("Seabridge" or the "Company") announced today it has entered into an agreement with RBC Capital Markets and Cantor Fitzgerald Canada Corporation (together the "Co-Lead Underwriters"), as co-lead underwriters and joint bookrunners on behalf of a syndicate of underwriters (collectively, the "Underwriters"), to purchase, on a bought deal basis, 6,540,000 common shares of the Company (the "Offered Shares") at the price of US$12.25 per Offered Share (the "Issue Price") for aggregate gross proceeds of approximately US$80 million (the "Offering"). The Underwriters will have an option to purchase up to an additional 15% of the Offered Shares issued in the Offering at the Issue Price to cover over-allotments, exercisable in whole or in part, at any time until 30 days after the closing of the Offering.
Concurrent with the Offering, Seabridge has also entered into a subscription agreement with a strategic investor (the "Strategic Investor") to purchase 1,640,000 common shares of the Company on substantially the same terms as the Offering for aggregate gross proceeds of approximately US$20 million (the "Private Placement"). Seabridge expects to raise aggregate gross proceeds of approximately US$100 million (equivalent to approximately C$143 million) between both the Offering and the Private Placement (together, the "Financing").

Paulson's Holdings: The Paulson &amp; Co. fund is heavily invested in mining stocks which together make up more than 33% of the total portfolio. Paulson's other holdings include mostly shares of healthcare and financial services companies.&nbsp;
According to the fund's most recent 13F<a href="https://www.sec.gov/Archives/edgar/data/0001035674/000101359424000980/xslForm13F_X02/primary_doc.xml"> filing</a>, Paulson &amp; Co.'s largest gold miner holding is a $231.6 million stake in Perpetua Resources Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PPTA#NASDAQ">PPTA</a>), a development-stage mining company primarily focused on the exploration and restoration of the Stibnite Gold Project in Idaho.&nbsp;
Perpetua Resources stock is up nearly 300% in 2024.&nbsp;
The fund also holds a $111 million stake in Novagold Resources Inc. (AMEX:<a class="ticker" href="https://www.benzinga.com/stock/NG#AMEX">NG</a>) which owns 50% of the Donlin Gold project located in southwestern Alaska.&nbsp;
International Tower Hill Mines, Ltd. (AMEX:<a class="ticker" href="https://www.benzinga.com/stock/THM#AMEX">THM</a>), a gold miner with mines in Canada, Mexico, Finland, and Australia, is one of two penny stock holdings found in Paulson's fund. The other is Trilogy Metals Inc. (AMEX:<a class="ticker" href="https://www.benzinga.com/stock/TMQ#AMEX">TMQ</a>) with mineral resource properties including the Upper Kobuk Mineral Projects in Alaska.&nbsp;

Seabridge Gold Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/sa#NYSE">SA</a>) is sharing its highlights and financials for the quarter ending March 31 with shareholders, noting its application for &quot;substantially started&quot; status for its KSM project and exploration plans for its Iskut and 3 Aces projects.
Seabridge has worked diligently toward fulfilling the requirements needed to earn the substantially started designation for KSM, with which its Environmental Assessment Certificate would remain valid for its life.
Recent moves in the gold and copper markets are providing tailwinds for the company&#39;s stock as it searches for a partner for the massive gold and copper project in British Columbia. Seabridge went from a six-month low of CA$12.75 per share to as high as CA$23 on April 12. It was at CA$20.86 per share on Tuesday.
Gold and copper are breaking higher so far this year &mdash; especially gold, which is up more than 15% so far this year and went up 1% to US$2,362.49 per ounce Friday, Reuters reported. The spot price was US$2,348.63 on Tuesday.
&quot;We&#39;re starting to see the benefit of higher gold prices and our share price should also be reacting to copper prices&quot; Seabridge Chairman and Chief Executive Officer Rudi Fronk told Streetwise Reports during a recent interview. &quot;A successful KSM joint venture clearly will be the biggest driver of value for us going forward. And we&#39;re diligently working on trying to get the joint venture done with the right partner under the right terms.&quot;
Companies are recognizing that that they need new projects, especially in the copper space, Fronk said, which makes KSM even more valuable.
&quot;And here sits KSM, the largest undeveloped gold and copper project in the world, as measured by reserves and resources in a safe jurisdiction with permits in hand and support of the local indigenous peoples&quot; Fronk said. &quot;So, KSM checks a lot of boxes.&quot;
<h2>The Catalyst: Gold Levels Could &#39;Shock People&#39;</h2>
Fronk has headed the company since 1999. He said he&#39;s seeing something different in the gold market this year. Typically, a strong dollar tends to get in the way of gold. But Fronk said gold is flowing from the West to the East, with some nations increasing their ownership as a reserve currency, worried about the U.S. weaponizing the dollar.
He noted in a blog entry on Seabridge&#39;s website called &quot;Gold Market Update: The West Is Losing Control of the Gold Price&quot; that central banks are now the biggest gold buyers, and &quot;gold is replacing dollar denominated assets in central bank reserves.&quot;

At the top of the company&#39;s list of goals for 2024 is finding a joint venture partner for KSM. The company has noted that RBC Capital Markets is running a formal search process.
Lucas N. Pipes of B. Riley Securities, who has rated the stock a Buy with a target price of US$60 per share, wrote that Seabridge has &quot;a clear vision for a potential partnership agreement&quot; for the project, as it runs a formal search process.
It&#39;s only a matter of time before KSM attracts possible partners, said wrote Chris Temple, author and editor of The National Investor.
&quot;Even some &#39;experts&#39; in the precious metals space are WAY behind in their understanding of just what kind of world-class monster Seabridge&#39;s flagship KSM Project in British Columbia&#39;s Golden Triangle has become&quot; wrote Temple, who said he was &quot;table-pounding bullish&quot; on the stock, and not just because of KSM.
But when it comes to exploration, Fronk said this year is about growing resources at two other projects: Iskut, which is about 30 kilometers from KSM in BC, and 3 Aces in the Yukon.
Seabridge plans a 15,000-meter core drilling campaign at Iskut, where it will be looking at expanding the Bronson Slope mineral resource and its discovery in 2023 of similar mineralization at Snip North with three helicopter-portable drill rigs with a budgeted cost of CA$12 million. Work at 3 Aces will include drilling, geophysical surveys, surface mapping, and reclamation efforts.
<h2>Q1 Financials</h2>
Seabridge also announced that during the quarter ending March 31, it posted a net loss of CA$8.2 million, or CA$0.09 per share, compared to a net loss of CA$10.8 million or CA$0.13 per share for the same period in 2023.
The company said it invested CA$39.3 million in mineral interest project spending compared to CA$48.6 million in first quarter of 2023.
As of March 31, 2024, net working capital was CA$43.2 million compared to CA$54.5 million on December 31, 2023.
<h2>Ownership and Share Structure</h2>
Reuters provided a breakdown of the company&#39;s ownership and share structure, where management and insiders own approximately 3% of the company. According to Reuters, CEO and Chairman Rudi P. Fronk owns 1.41% of the company with 1.23 million shares.

Seabridge Gold Inc. (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/sa#NYSE">SA</a>) announced the details of a 15,000-meter core drilling campaign this year at its 100%-owned Iskut property in northwest British Columbia&#39;s Golden Triangle.
The expanding Bronson Slope mineral resource and Seabridge&#39;s discovery in 2023 of similar mineralization at Snip North are interpreted to be &quot;high-level expressions of intrusive-related porphyry mineralization&quot; said the company, which is using three helicopter-portable drill rigs for the new drilling at a budgeted cost of CA$12 million.
&quot;Last year, we discovered extensive gold-dominated epithermal-style mineralization that is consistent with the upper parts of significant porphyry copper-gold mineral systems&quot; Chairman and Chief Executive Officer Rudi Fronk said. &quot;The expansion of the Bronson Slope mineral resource and the new discoveries at Snip North have given us clear direction on where to focus our efforts.&quot;
Fronk said the intrusive targets appear to be embedded in a &quot;district-scale structural trend that is reminiscent of our KSM deposits&quot; referring to the company&#39;s massive KSM project, which is only 30 kilometers by air from Iskut.
KSM is the world&#39;s largest undeveloped gold project by reserves and resources, according to analyst Lucas N. Pipes of B. Riley Securities, who has rated the stock a Buy with a target price of US$60 per share.
&quot;This year&#39;s work is dedicated to realizing the porphyry potential we had in mind when we acquired the Iskut project&quot; Fronk said.
<h2>The Catalyst: &#39;District-Scale&#39; Structural Corridor</h2>
Regional geophysical surveys and surface geology have confirmed the &quot;district-scale structural corridor that connects the Quartz Rise, Bronson Slope, and Snip North targets&quot; Seabridge noted in a release. &quot;Substantial high-level expressions of a Cu-Au porphyry system fall along this regional trend. These multiple targets have only recently seen deep drilling, and 2024 is planned to better evaluate their deeper porphyry potential.&quot;
Results from Bronson Slope drilling last year have expanded, along strike and down plunge, an intermediate sulfidation epithermal system open in multiple directions, the company said. This mineral zone is adjacent to the quartz-magnetite breccia pipe previously discovered, all of which are indications of an intensive and extensive intrusion-related fluid system at Bronson Slope.

In 2023, drilling at Snip North encountered wide intersections of gold and copper.
Highlights included 0.80 grams per tonne gold (g/t Au), 0.07% copper (Cu), and 1.19 g/t silver (Ag) over 277 meters (including 1.8 meters of 15.3 g/t Au, 1.5% Cu, and 430 g/t Ag); 0.61 g/t Au, 0.07% Cu, and 1.36 g/t Ag over 252 meters; and 0.30 g/t Au, 0.09% Cu, 0.59, and g/t Ag over 421.5 meters.
&quot;We view these initial results from Snip North positively given the strong indications of a likely deeper, higher-grade porphyry source to the intermediate sulfidation mineralization intersected in this drilling&quot; wrote Red Cloud analysts Taylor Combaluzier and David Talbot at the time. In a later note, the analysts gave the stock a Buy rating with a CA$46.50 per share target price.
<h2>Goals for 2024</h2>
Earlier this month, Seabridge announced its top 15 goals for 2024, including filing &quot;a new technical report for Bronson Slope with 2023 drill results and an updated resource estimate and (completing) a drill program of at least 12,500 meters at Iskut.&quot;
At the top of the list of goals was finding a joint venture partner for KSM. The company has noted that RBC Capital Markets is running a formal search process.
Pipes said Seabridge has &quot;a clear vision for a potential partnership agreement.&quot;

&quot;The core drivers of the gold and silver bull market remain firmly in place&quot; wrote Maund. &quot;This correction in gold and silver should be seen for what it is &mdash; the perfect opportunity to build positions further at better prices ahead of the next major upleg.&quot;
Newsletter writer Captain Ewave recently analyzed the precious metal&#39;s movements and recommended being long on gold.
&quot;Are gold and gold mining stocks on the verge of an explosive move higher?&quot; he wrote. &quot;Based on our analysis, the answer appears to be a resounding yes.&quot;

Gold Co. Set To Drill 15,000 Meters at Golden Triangle Property

Gold has been on a tear of late and <a href="https://www.benzinga.com/analyst-ratings/analyst-color/24/03/37569351/gold-rises-to-all-time-highs-marks-longest-winning-streak-since-july-2000-driven-by">closed at a record high on Friday.</a> An economist said on Friday gold miners have lagged the rally in the yellow metal and could soon play catch-up.
What Happened: Gold&#8217;s record run hasn&#8217;t sparked interest in gold mining stocks, said economist and gold bull Peter Schiff. On Friday, gold futures settled at $2,186.20, up 0.97%. Despite the development, exchange-traded funds comprising gold mining stocks were essentially unchanged in the session. The VanEck Gold Miners ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GDX#NYSE">GDX</a>) ended Friday&#8217;s session up 0.10% $29.64, while the VanEck Junior Gold Miners ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GDXJ#NYSE">GDXJ</a>) fell 0.42% to $35.93, according to<a href="https://benzinga.grsm.io/lxquj26b2sag"> Benzinga Pro data.</a>
&#8220;An explosive move up can&#8217;t be that far away. So buy the miners before the crowd realizes what&#8217;s going on,&#8221; Schiff said.
Delving into the potential reasons for a lack of reaction among mining stocks, Schiff said it could be due to investors selling these stocks to buy Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>) ETFs.
Schiff also said he expects gold opening with a gap up at $2,200 on Monday. 
&#8220;This is more likely to be the case if Bitcoin crashes over the weekend,&#8221; he said.

Gold Stocks Could Gain In Catch-Up Rally, Says Peter Schiff: 'Explosive Move Up Can't Be Far Away'

Gold prices, tracked by the SPDR Gold Trust (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GLD#NYSE">GLD</a>), edged above $2,110 per troy ounce on Monday, poised to achieve a record close and triggering a significant <a href="https://www.benzinga.com/topic/gold-miners">surge in mining stocks.</a>
This marked the fourth consecutive session of gains for the precious metal, bringing it within 1.4 percent of the all-time high reached during the intraday session on Dec. 4, 2023.
Despite the rise in Treasury yields on Monday, with the yield on the 2-year Treasury note inching up to 4.60%, gold exhibited strength in the market.
Market-implied probabilities for a Federal Reserve interest rate cut remained largely unchanged. Traders currently assign a 65% chance of a rate cut by June, with a total of four rate cuts expected by the end of the year.
According to the latest World Gold Council report, increasing geopolitical uncertainty is a significant driver of gold demand in 2024. Ongoing conflicts, trade tensions, and over 60 elections worldwide are likely to prompt investors to seek gold as a proven safe-haven asset.

This surge in gold prices fueled a significant rise in mining stocks. 
The VanEck Gold Miners ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GDX#NYSE">GDX</a>) rallied by 4.4% on Monday, building on the momentum from Friday&#8217;s 3.7% surge. 
The gauge has effectively surpassed the 50-day moving average, setting its sights on testing the resistance indicated by the 200-day moving average at $28.79.
Meanwhile, the Sprott Junior Gold Miners ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SGDJ#NYSE">SGDJ</a>) soared even higher by 5.3%, following a 4% leap on Friday.
