Board acted in response to substantial accumulation of stock by BBRC

REYNOLDSBURG, Ohio, May 20, 2025 (GLOBE NEWSWIRE) -- Victoria's Secret &amp; Co. ("VS&amp;Co" or the "Company") (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/VSCO#NYSE">VSCO</a>) today announced that its Board of Directors (the "Board") has approved the adoption of a limited-duration shareholder rights plan ("Rights Plan") to protect the best interests of all VS&amp;Co shareholders. The Rights Plan is effective immediately and expires in one year.
The Board, in consultation with its independent advisors, adopted the Rights Plan in response to the substantial accumulation of shares of VS&amp;Co's common stock by BBRC International Pte Limited, an entity controlled by Brett Blundy (collectively with their affiliates, "BBRC"). In deciding to adopt the Rights Plan, the Board considered, among other things, that:

<li>Starting in March 2025, BBRC began increasing its position in VS&amp;Co to approximately 13% of the outstanding shares;</li>
<li>After nearly two years of reporting its beneficial ownership as a "passive investor" on Schedule 13G, in February 2024, BBRC began reporting on a Schedule 13D;</li>
<li>BBRC made acquisitions of the Company's common stock in violation of U.S. antitrust law for nearly three years by failing to file forms required under the Hart-Scott-Rodino Act and observe the regulatory waiting period, and now has made corrective filings that will enable BBRC to acquire up to 49.99% of the Company's voting stock once the waiting period has expired, which we expect will be at 11:59 p.m., Eastern Time, on May 21, 2025;</li>
<li>BBRC has a track record of acquiring controlling interests in retail companies; and</li>
<li>BBRC recently launched a new business described as a global lingerie, sleepwear and beauty brand.</li>
</ul>
The Board also took note of the current period of substantial market dislocation in the retail sector and its potential impact on the trading value of the Company's shares, which the Board does not believe reflects the inherent value of VS&amp;Co's business or its long-term prospects.

The Ksi Lisims LNG project, a planned 12 Mtpa LNG liquefaction facility, is located on Canada&#8217;s Pacific coast in British Columbia. It provides prime access to Asia, the largest LNG market.
Designed to be fully electrified and powered by hydroelectricity, Ksi Lisims LNG is expected to be one of the lowest CO2-emitting LNG projects globally.

China-based Pony AI Inc (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PONY#NASDAQ">PONY</a>) stock gained on Tuesday premarket after the company disclosed its <a href="https://www.benzinga.com/pressreleases/25/05/g45512651/pony-ai-inc-announces-unaudited-first-quarter-2025-financial-results" target="_blank" rel="noreferrer noopener">first-quarter results</a>.
Sales&nbsp;grew 11.6% year-over-year to $13.98 million (101.6 million Chinese yuan), mainly driven by rapid growth in Robotaxi services revenues. The analyst consensus estimate for sales was 90.11 million Chinese yuan.
Robotaxi services&nbsp;revenue climbed 200.3% Y/Y to $1.7 million in the quarter, primarily attributable to expanding its public-facing fare-charging operations in Tier-one cities in China and refined operational strategies for diverse user groups.

Meanwhile, Robotruck services&nbsp;revenue surged 4.2% Y/Y to $7.8 million, mainly due to contributions from new clients.
Gross profit&nbsp;fell 11.8% Y/Y to $2.3 million, with a margin contraction of 440 bps to 16.6%, mainly due to changes in the revenue mix with increased ADC sales for new robot delivery clients in the first quarter.
The company reported a loss of 10 cents (or 0.73 Chinese yuan) per share, compared to a loss of 28&nbsp;cents in the prior year&#8217;s quarter. The <a target="_blank" href="https://www.benzinga.com/calendars/earnings" rel="noreferrer noopener">analyst consensus loss estimate</a> was 0.07 Chinese yuan.
As of March 31, 2025, cash and cash equivalents, short-term investments, and restricted cash&nbsp;stood at $738.5 million.
Co-founder and Chief Executive Officer Dr. James Peng said the unveiling of the seventh-generation autonomous driving system (Gen 7) enabled it to reduce bill-of-materials (BOM) costs by 70% and made it confident about expanding the fleet to 1,000 vehicles by year-end.
Co-founder and Chief Technology Officer Dr. Tiancheng Lou said its Gen 7 Robotaxis accomplished full-scenario L4 autonomous driving on automotive-grade chips. It remains on track to scale mass production and deployment in 2025.
