Shares of Box, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BOX#NYSE">BOX</a>) rose sharply in today's pre-market trading after the company posted better-than-expected first-quarter results and raised its FY2026 guidance <a href="https://www.benzinga.com/quote/box/analyst-ratings">after Tuesday's closing bell</a>.
The company reported quarterly earnings of 30 cents per share, which beat the Street estimate of 26 cents. Quarterly revenue came in at $276 million, which beat the consensus estimate of $274.8 million and is an increase over revenue of $264.66 million from the same period last year.
Box shares jumped 11.6% to $35.10 in the pre-market trading session.

Dow Jumps Over 200 Points; US Initial Jobless Claims Fall

Compass Diversified (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CODI#NYSE">CODI</a>) ("CODI") today disclosed non-reliance on its financial statements for fiscal 2024 amid an ongoing internal investigation into its subsidiary, Lugano Holding, Inc. It also announced that it intends to delay the filing of its first quarter 2025 Form 10-Q.
The Audit Committee of CODI's Board of Directors promptly launched an investigation after CODI's senior leadership was made aware of concerns about how Lugano was potentially financing inventory. The investigation, led by outside counsel and a forensic accounting firm, is ongoing but has preliminarily identified irregularities in Lugano's non-CODI financing, accounting, and inventory practices. After discussing with senior leadership and investigators, the Audit Committee of CODI's Board has concluded that the previously issued financial statements for 2024 require restatement and should no longer be relied upon.
Effective May 7, 2025, Lugano's founder and CEO, Moti Ferder, resigned from all of his positions at Lugano and will not receive any severance compensation. These issues are limited to Lugano, of which CODI owns approximately 60%, and the investigation is not focused on CODI's other subsidiaries.&nbsp;&nbsp;

Earnings Scheduled For February 27, 2025

Compass Diversified Holdings (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CODI#NYSE">CODI</a>), an owner of leading middle market businesses (the "Company" or "CODI"), announced today that on January 15, 2025, it entered into a Seventh Amended and Restated Management Services Agreement with Compass Group Management LLC, the Company's Manager (the "Amendment"). The Amendment, commencing in the first quarter beginning on January 1, 2025, restructures the management fee under the existing Management Services Agreement to consist of a base management fee and an incentive management fee. Pursuant to the Amendment, the base management fee will be (i) 2.0% of the Company's adjusted net assets when the adjusted net assets are less than or equal to $3.5 billion (the "Initial Threshold Fee"), (ii) the Initial Threshold Fee, plus 1.25% of the amount of adjusted net assets exceeding $3.5 billion when the adjusted net assets are more than $3.5 billion but less than $10 billion, or (iii) 1.5% of the Company's adjusted net assets when the adjusted net assets are $10 billion or more.
The incentive management fee will be 0.25% of the amount of adjusted net assets exceeding $3.5 billion, when the adjusted net assets are more than $3.5 billion but less than $10 billion. The incentive management fee is only earned if the Company's annualized internal rate of return on equity for the trailing three years exceeds 12%. Such incentive management fee is also subject to approval by the Compensation Committee of the Company's Board of Directors.
