BP p.l.c. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BP#NYSE">BP</a>) On Friday offered a <a target="_blank" href="https://www.benzinga.com/secfilings/25/07/46362718/bp-plc-general-corporate-statement-by-foreign-issuer-form6" rel="noreferrer noopener">preliminary snapshot of its second-quarter</a> performance ahead of its full earnings release scheduled for August 5, 2025. The company anticipates varied results across its businesses, shaped by declining oil prices, robust refining margins, and seasonal demand shifts.
Reported upstream production is expected to increase, driven by higher output from bpx energy in the oil production &amp; operations segment and a modest rise in gas &amp; low carbon energy. Still, weaker realized prices are expected to dampen earnings.
In oil production &amp; operations, earnings could fall by $600 million to $800 million, impacted by pricing delays and production mix in regions such as the Gulf of Mexico and the UAE. The gas &amp; low-carbon energy segment may see a $100 million to $300 million reduction due to declines in non-Henry Hub natural gas prices and average gas trading performance.

BP expects a modest reduction in net debt and plans to log post-tax impairment charges between $500 million and $1.5 billion across multiple segments. These will be excluded from its underlying replacement cost profit.
Commodity markets remained mixed. Brent crude averaged $67.88 per barrel in the second quarter, down from $75.73 in the first quarter, and Henry Hub gas prices also declined. However, BP&#8217;s refining marker margin climbed to $21.10 per barrel, benefiting downstream operations.
The company noted that its outlook remains subject to ongoing market, regulatory, and geopolitical uncertainty. Finalized financial results may differ from current estimates.

BP Plc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BP#NYSE">BP</a>) will reopen its office in Tripoli by late 2025 as part of a renewed push to resume operations in Libya, the company confirmed following the signing of a <a target="_blank" href="https://noc.ly/en/bp-reopens-office-in-libya-and-shell-explores-cooperation-in-oil-field-development/" rel="noreferrer noopener">memorandum of understanding</a> with the country's National Oil Corporation (NOC).
The agreement, signed Tuesday in London, sets the stage for BP to assess new exploration and production opportunities in key Libyan fields. NOC Chairman Masoud Suleman welcomed the company's return and called for expanded collaboration in workforce training and development within Libya's oil sector.
The memorandum outlines BP's plan to conduct technical studies evaluating the potential for hydrocarbon development in the Messla and Sarir oil fields and adjacent exploration zones. These efforts are seen as a signal of BP's intention to deepen its operational footprint in the North African nation after years of suspended activities due to conflict and instability.

Shell's initiative complements Libya's broader strategy to boost output and revitalize its energy sector through foreign partnerships.
At the signing event, Suleman emphasized the importance of building technical and leadership capacity within Libya's oil industry and thanked joint technical teams for their work in finalizing the agreements. The NOC hopes the re-engagement of international players will spur sustainable growth and enhance Libya's economic stability.

&#8220;Shell wishes to clarify that it has not been actively considering making an offer for BP and confirms it has not made an approach to, and no talks have taken place with, BP with regards to a possible offer,&#8221; the company said in a statement on Thursday.
This is a statement to which Rule 2.8 of the Code applies. Rule 2.8 states that if a company makes a public statement that it does not intend to make an offer for another company, it is then bound by certain restrictions.

As a direct consequence of this Rule 2.8 statement, Shell is now formally restricted from making an offer for BP for a period of six months.
Under the U.K.&#8217;s Takeover Code, the six-month ban on making an offer for over 30% of BP&#8217;s <a target="_blank" href="https://www.shell.com/news-and-insights/newsroom/news-and-media-releases/2025/shell-plc-statement-re-bp-plc.html" rel="noreferrer noopener">shares</a> can be shortened if another bidder for BP emerges or if BP invites an offer, according to the regulations.
The statement from Shell comes after a Wall Street Journal <a target="_blank" href="https://www.wsj.com/business/energy-oil/shell-in-early-talks-to-acquire-rival-bp-2233591a" rel="noreferrer noopener">article</a> on Wednesday reported that the Dutch oil giant had held early-stage talks to acquire its rival, BP. The article cited sources familiar with the matter, indicating active discussions between company representatives.
A <a href="https://www.benzinga.com/25/05/45205962/bp-stock-jumps-on-report-of-possible-acquisition-by-shell">Bloomberg report</a> in May preceded this, suggesting that Shell was indeed evaluating a potential acquisition of BP but was waiting for further declines in stock and oil prices before making a final decision.
Furthermore, in February, activist investor Elliott Management reportedly acquired a stake in BP and had been advocating for substantial changes at the British oil <a target="_blank" href="https://in.benzinga.com/news/large-cap/25/02/43591241/whats-going-on-with-oil-giant-bp-stock-today" rel="noreferrer noopener">company to boost its performance</a>.
In terms of recent financial performance, Shell reported its <a target="_blank" href="https://www.benzinga.com/pressreleases/25/01/g43327822/shell-plc-4th-quarter-2024-and-full-year-unaudited-results" rel="noreferrer noopener">first-quarter 2025</a> revenue of $69.234 billion, which missed the consensus estimate of $79.13 billion. Production figures showed that Total production at Integrated Gas fell 2% quarter-over-quarter (Q/Q) to 927 kboe/d (thousand barrels of oil equivalent per day), while Upstream production remained flat <a target="_blank" href="https://www.benzinga.com/25/05/45168189/shells-q1-profit-surges-52-announces-35-billion-buyback-more" rel="noreferrer noopener">Q/Q at 1,855 kboe/d</a>.
Price Action: SHEL stock is up 2.49% at $71.17, and BP stock is down 0.07% at $30.30 during the premarket session at last check Thursday.

In response to recent media speculation Shell wishes to clarify that it has not been actively considering making an offer for BP and confirms it has not made an approach to, and no talks have taken place with, BP with regards to a possible offer.
This is a statement to which Rule 2.8 of the Code applies and accordingly Shell confirms it has no intention of making an offer for BP. As a result Shell will be bound by the restrictions set out in Rule 2.8 of the Code.

Renowned television host Jim Cramer is cheering a potential mega merger between energy giants Shell PLC (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SHEL#NYSE">SHEL</a>) and BP PLC (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BP#NYSE">BP</a>), seeing it as a catalyst for a broader surge in deal-making activity.
What Happened: On Wednesday, Cramer posted on X, forecasting an imminent wave of mergers and acquisitions, especially in the energy sector, calling it an &#8220;M&amp;A wave,&#8221; kick-started by Shell and BP.

Shell, however, has since explicitly denied any talks of a merger being underway, with a spokesperson telling Reuters on Wednesday that &#8220;no talks are taking place&#8221; and that this was all just &#8220;further market speculation.&#8221;
The spokesperson went on to say, &#8220;As we have said many times before, we are sharply focused on capturing the value in Shell through continuing to focus on performance, discipline and simplification.&#8221;
BP, meanwhile, has remained tight-lipped, with the company&#8217;s representatives repeatedly declining to comment on the speculation.
Neither BP nor Shell immediately responded to Benzinga&#8217;s requests for a comment on this matter. The story will be updated as soon as we receive a response.

Tech stocks climbed to new highs early Wednesday, with the Nasdaq 100 briefly touching 22,329 points after the opening bell, surpassing its previous <a href="https://www.benzinga.com/markets/tech/25/06/46096528/nasdaq-100-record-highs-rally-historical-performance">peak from February 19.</a> 
Yet, by midday trading, the rally lost steam, with major indices giving back early gains. By 12:30 p.m. ET, the Nasdaq 100 was trading at 22,234, up 0.2% on the day. Other large-cap benchmarks hovered near the flatline, while the Russell 2000 fell 0.7%, reflecting weakness in small-cap names.
At a NATO meeting in the Netherlands, President Donald Trump said that a ceasefire between Israel and Iran remains in place and that the United States will continue exerting pressure on Tehran. He clarified that while sanctions remain, Iran is currently allowed to sell oil to China.
Trump also renewed his call for NATO allies to raise their defense spending to 5% of GDP, more than double the current 2% guideline, arguing that Europe must carry a larger share of the military burden.
In day two of his testimony before Congress, Federal Reserve Chair Jerome Powell said that evolving trade conditions could influence monetary policy decisions, suggesting that future trade agreements might create room for interest rate cuts—though no timing was provided.
Advanced Micro Devices Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AMD#NASDAQ">AMD</a>) led chipmaker gains, rising 3.1% and reaching its highest level since early December 2024. The stock is tracking toward its strongest monthly performance since May 2023.
The broader chip sector is also rallying. The iShares Semiconductor ETF (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SOXX#NASDAQ">SOXX</a>) is up 15% month-to-date, on track for its best monthly return since November 2023.
Bond markets were steady, with the 10-year Treasury yield holding at 4.31%, showing little reaction to Powell's testimony or geopolitical headlines.
In commodities, oil prices rebounded 2% to $66 per barrel, after falling more than 12% over the previous two sessions. In industry news, Shell plc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SHEL#NYSE">SHEL</a>) is reportedly in early-stage talks to acquire rival BP plc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BP#NYSE">BP</a>), though no formal offer has been made yet.
Gold was unchanged at $3,328 per ounce, while silver gained 0.5% to $36.
In crypto markets, Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>) advanced 1.2%, trading just above $107,000.
