New data from two clinical studies of the investigational use of Sarclisa administered subcutaneously (SC) via an on-body injector (OBI) (also referred to as an on-body delivery system) in relapsed or refractory multiple myeloma (R/R MM) support the potential use of this innovative delivery method to advance patient care, while upholding Sarclisa's efficacy and safety profile. Kymera Therapeutics, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/KYMR#NASDAQ">KYMR</a>) on Monday revealed clinical results from the Phase 1 healthy volunteer study of KT-621, its first-in-class, oral <a target="_blank" href="https://www.benzinga.com/general/health-care" rel="noreferrer noopener">STAT6 degrader medicine</a>.
The findings significantly surpassed the company&#8217;s expectations, demonstrating robust STAT6 degradation and a favorable safety profile, thereby derisking the program, the company said in a press release.
Pharmacokinetics (PK):
KT-621 demonstrated a favorable <a target="_blank" href="https://www.benzinga.com/pressreleases/25/06/g45717730/kymera-therapeutics-announces-positive-first-in-human-results-from-phase-1-healthy-volunteer-clini" rel="noreferrer noopener">plasma PK profile</a> after single and multiple doses. Rapid absorption was demonstrated with a median tmax&nbsp;of 2-4 hours and a mean half-life of 9-36 hours. There was a dose-proportional increase in exposure after multi-dosing, and a steady state was achieved by Day 4.

Pharmacodynamics (PD):
KT-621 demonstrated rapid, deep, and prolonged STAT6 degradation in blood after single doses of KT-621 and in blood and skin after multiple doses of KT-621.
STAT6 levels in blood and skin were measured. Complete degradation within a cohort is defined as either a mean reduction of ≥95% or, when most subjects&#8217; STAT6 levels are reduced below the Lower Limit of Quantification (LLOQ), or both.
In SAD, maximal degradation was achieved in blood as quickly as the first collected timepoint of 4 hours after a single dose, with mean STAT6 degradation reaching &gt;90% across all SAD doses starting at 6.25 mg.
All SAD cohorts at 75 mg or greater doses achieved &gt;95% mean STAT6 degradation with STAT6 levels below LLOQ in multiple subjects.
In MAD, STAT6 degradation was observed in blood at the first timepoint measured (8 hours) for doses above 1.5 mg.
Steady-state, complete degradation, associated with STAT6 reductions below the LLOQ in the majority of subjects, was achieved at doses ≥50 mg, with recovery starting as early as 4 days after the last dose.
In MAD, robust STAT6 degradation was observed in the skin at the first timepoint measured (Day 7) for doses above 1.5 mg.
Steady-state, complete degradation, associated with ≥95% mean STAT6 degradation with STAT6 levels below LLOQ in multiple subjects, was achieved at doses ≥50 mg.
Th2 Biomarkers:
TARC reduction was observed for all KT-621 dose groups, with a median reduction of up to 37% at Day 14.
The company says the results are comparable or superior to what was seen in the Sanofi SA (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SNY#NASDAQ">SNY</a>)/Regeneron Pharmaceuticals Inc&#8217;s (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/REGN#NASDAQ">REGN</a>) Dupixent (dupilumab) healthy volunteer study.
The safety profile of KT-621 was undifferentiated from that of the placebo.
The company&#8217;s KT-621 BroADen Phase 1b trial in moderate to severe atopic dermatitis patients is ongoing, with data expected to be reported in the fourth quarter of 2025. 
Two parallel Phase 2b trials in atopic dermatitis and asthma will start in 4Q25 and 1Q26, respectively.

Kymera Therapeutics Says Atopic Dermatitis Potential Matches Sanofi/Regeneron's Blockbuster Dupixent In Early Biomarker Response

The U.S. Food and Drug Administration (FDA) on Saturday approved Moderna, Inc.&#8217;s (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MRNA#NASDAQ">MRNA</a>) mNexspike&nbsp;(mRNA-1283), a new vaccine against COVID-19, for all adults 65 and older and individuals aged 12-64 years with at least one or more underlying risk factor as defined by the Centers for Disease <a target="_blank" href="https://www.benzinga.com/general/health-care" rel="noreferrer noopener">Control and Prevention (CDC)</a>.
&#8220;The FDA approval of our third product, mNEXSPIKE&#8230;,&#8221; said Stéphane Bancel, Chief <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/ac45708511/moderna-receives-u-s-fda-approval-for-covid-19-vaccine-mnexspike" rel="noreferrer noopener">Executive Officer of Moderna</a>.
The FDA&#8217;s approval of mNEXSPIKE is based on results from a randomized, observer-blind, active-controlled Phase 3 trial, which enrolled approximately 11,400 participants aged 12 years and older.

The primary efficacy objective was to demonstrate the non-inferior vaccine efficacy against COVID-19 starting 14 days after mNexspike compared to that after the comparator vaccine, mRNA-1273 (Spikevax), Moderna&#8217;s original COVID-19 vaccine.
Participants received either a 10 μg dose of mRNA-1283 or a 50 μg dose of mRNA-1273.
mRNA-1283 showed a 9.3% higher relative vaccine efficacy (rVE) compared to mRNA-1273 in individuals aged 12 years and older, and in a descriptive sub-group analysis, a 13.5% higher rVE in adults aged 65 and older.
In the Phase 3 trial, mRNA-1283 was found to have a similar safety profile to mRNA-1273, with fewer local reactions and comparable systemic reactions.
The most commonly solicited side effects were injection site pain, fatigue, headache and myalgia.
Moderna expects to have mNexspike available for eligible populations in the U.S. for the 2025-2026 respiratory virus season, alongside Spikevax and mRESVIA, the company&#8217;s approved respiratory syncytial virus (RSV) vaccine.
William Blair writes, &#8220;Approval of mRNA-1283 is an incremental win for Moderna, especially considering HHS Secretary Robert F. Kennedy Jr.&#8217;s negative public opinion on mRNA COVID-19 vaccines, and we continue to see autonomy and data-driven decisions at the FDA.&#8221;
&#8220;We do not see approval of mRNA-1283 as a massive boost to Moderna&#8217;s COVID-19 vaccine sales, which we believe are primarily driven by sentiment surrounding the vaccination market in general, but this is a critical step in the regulatory path for the combo flu/COVID vaccine product, mRNA-1083, which uses mRNA-1283 as the COVID-19 component of its formulation,&#8221; analyst Myles Minter writes.
Analyst Minter says Moderna is still facing challenges from new government policies, including <a target="_blank" href="https://www.benzinga.com/government/regulations/25/05/45663794/hhs-cancels-590m-moderna-bird-flu-vaccine-deal-casting-uncertainty-over-pandemic-preparedness-effort" rel="noreferrer noopener">losing about $700 million</a> in funding from the Department of Health and Human Services for its bird flu vaccine project.
In addition, William Blair writes that the company&#8217;s goal to break even by 2028 is overly optimistic since it would need to more than double its revenue—based on cash costs—to reach that target.

Achievement of the U.S. license approval has triggered a&nbsp;$175 million&nbsp;milestone payment from Sanofi SA (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SNY#NASDAQ">SNY</a>).

Moderna's New COVID Vaccine Secures FDA-Clearance For Seniors, At-Risk Individuals

Sanofi SA (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SNY#NASDAQ">SNY</a>) on Monday agreed to acquire Blueprint Medicines Corporation (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/BPMC#NASDAQ">BPMC</a>).
The acquisition includes a rare immunology disease medicine, Ayvakit/Ayvakyt (avapritinib), approved in the U.S. and the EU, and a promising advanced and <a target="_blank" href="https://www.benzinga.com/general/health-care" rel="noreferrer noopener">early-stage immunology pipeline</a>.
Ayvakit/Ayvakyt is the only approved medicine for advanced and indolent systemic mastocytosis (ASM &amp; ISM), a rare immunology disease, which is characterized by the accumulation and activation of aberrant mast cells in bone marrow, skin, the gastrointestinal tract, and other organs.
The acquisition will also include elenestinib, a next-generation medicine for SM, and BLU-808, a highly selective and potent oral wild-type KIT inhibitor with the potential for immunology diseases.

Sanofi will pay&nbsp;$129.00&nbsp;per share in cash, representing an equity value of <a target="_blank" href="https://www.benzinga.com/pressreleases/25/06/n45714358/sanofi-to-acquire-blueprint-medicines-expanding-portfolio-in-rare-immunological-disease-and-adding" rel="noreferrer noopener">approximately&nbsp;$9.1 billion</a>.
Blueprint shareholders will also receive one contingent value right (CVR), which entitles the holder to two potential milestone payments of&nbsp;$2&nbsp;and&nbsp;$4&nbsp;per CVR to achieve future development and regulatory milestones for BLU-808.
The total equity value of the transaction, including potential CVR payments, represents approximately&nbsp;$9.5 billion&nbsp;on a fully diluted basis.
Paul Hudson, CEO of Sanofi, said, &#8220;The proposed acquisition of Blueprint Medicines represents a strategic step forward in our rare and immunology portfolios&#8230;It complements recent acquisitions of early-stage medicines that remain our main field of interest. Sanofi still retains a sizeable capacity for further acquisitions.&#8221;&nbsp;
Ayvakit achieved net revenues of&nbsp;$479 million&nbsp;in 2024 and nearly&nbsp;$150 million&nbsp;in Q1 2025, representing year-on-year growth of more than 60% over Q1 2024.
Sanofi currently expects to complete the acquisition in the third quarter of 2025. The acquisition will not significantly impact Sanofi&#8217;s financial guidance for 2025. It is immediately accretive to gross margin and accretive to business operating income and EPS after 2026.
In another development, Sanofi exercised its option to exclusively license Nurix Therapeutics, Inc.&#8217;s (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NRIX#NASDAQ">NRIX</a>) STAT6 program on Monday, including the drug development candidate NX-3911, an oral, highly selective STAT6 degrader.
STAT6 (signal transducer and activator of transcription 6) plays a central role in type 2 inflammation, which drives diseases such as atopic dermatitis and asthma.
Under its 2019 collaboration agreement, Nurix will receive a $15 million license extension fee from Sanofi, bringing the total amount received under this <a target="_blank" href="https://www.benzinga.com/pressreleases/25/06/g45717764/sanofi-exercises-license-extension-option-to-nurixs-stat6-program" rel="noreferrer noopener">collaboration to $127 million</a>.
Nurix is eligible for an additional $465 million in development, regulatory, and commercial milestones associated with the STAT6 program and potential future royalties and retains an option to co-develop and co-promote in the U.S.
Price Action: SNY stock is trading lower by 0.73% to $49.01, BPMC stock is trading higher by 26.8% to $128.50, and NRIX stock is trading lower by 0.28% to $10.60 during the premarket session at last check Monday.

U.S. stock futures fell on Monday after a mixed close on Friday. Futures of major benchmark indices were trading lower in premarket.
After the Federal appeals court temporarily reinstated Donald Trump&#8216;s tariffs, he accused <a href="https://www.benzinga.com/news/legal/25/05/45683326/trump-tariffs-temporarily-preserved-as-appeals-court-pauses-lower-ruling">China of violating an agreement</a> with the U.S. to ease tariffs in his Truth Social <a href="https://truthsocial.com/@realDonaldTrump/posts/114596705340367716">post</a>. 
However, Trump did not specify the details of this violation. Treasury Secretary Scott Bessent on Sunday clarified that China was withholding critical minerals it agreed to release in a trade deal the country signed with U.S. negotiators last month in Geneva.
Meanwhile, the 10-year Treasury bond yielded 4.44% and the two-year bond was at 3.92%. The CME Group's FedWatch <a href="https://www.cmegroup.com/markets/interest-rates/cme-fedwatch-tool.html">tool</a>&#8216;s projections show markets pricing a 98.7% likelihood of the Federal Reserve keeping the current interest rates unchanged in its June meeting.

The SPDR S&amp;P 500 ETF Trust (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/SPY#NYSE">SPY</a>) and Invesco QQQ Trust ETF (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/QQQ#NASDAQ">QQQ</a>), which track the S&amp;P 500 index and Nasdaq 100 index, respectively, fell in premarket on Monday. The SPY was down 0.53% at $586.24, while the QQQ declined 0.63% to $515.83, according to <a href="https://pro.benzinga.com/dashboard">Benzinga Pro</a> data.
Cues From Last Session:
Sectoral moves led the U.S. stocks to a mixed close on Friday, with energy, consumer discretionary, and information technology stocks posting the largest declines, while consumer staples and utilities ended higher.
Wall Street ended May on a strong note, with the S&amp;P 500 up 6.2% and the Nasdaq soaring 9.6%, marking their best months since November 2023. The Dow gained 3.9% for the month.
Weekly gains showed the S&amp;P 500 advancing, the Dow up 1.6%, and the tech-heavy Nasdaq rising 2%.
Dell Technologies Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DELL#NYSE">DELL</a>) shares dropped over 2% after mixed first-quarter results, while Ulta Beauty Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ULTA#NASDAQ">ULTA</a>) surged about 12% on better-than-expected Q1 earnings and raised guidance.
Economic data revealed the University of Michigan consumer sentiment revised up to 52.2 in May from a preliminary 50.8, while the Chicago PMI fell to 40.5 from 44.6 in the prior month.
The Dow Jones index ended 54 points or 0.13% higher at 42,270.07, whereas the S&amp;P 500 index fell 0.0081% to 5,911.69. Nasdaq Composite declined 0.28% to 19,113.77, and the small-cap gauge, Russell 2000, tumbled 0.41% to 2,066.29.

According to Bob Elliott, the CIO of Unlimited Funds, there was a "consensus" among the market participants that TACO trade or Trump Always Chickens Out' trade is priced in, meaning investors anticipate Trump's tariff retreats, especially now that he is embroiled in the legal battle over the validation of his levied tariffs.
He implied that TACO could pave the way for a "Run It Hot" economic environment, characterized by growth-oriented policies and sustained stimulus, further fueling market optimism.
Elliott's post signaled a widespread belief that Trump&#8217;s possible tariff rollbacks or extensions are not only predictable but also conducive to a pro-growth economic stance.

Meanwhile, head of research at Fundstrat Global Advisors, Tom Lee, stated that a "<a href="https://www.benzinga.com/analyst-stock-ratings/analyst-color/25/06/45715677/tom-lee-bets-on-a-new-bull-market-as-trumps-tariff-retreat-fuels-taco-trade-a">new bull market</a>" has emerged following the spike in the volatility gauge in April. &#8211;

Asian markets closed lower on Friday except South Korea's Kospi index. Australia's ASX 200, China&#8217;s CSI 300, India's S&amp;P BSE Sensex, Japan's Nikkei 225, and Hong Kong's Hang Seng indices declined. European markets were lower in early trade.

Benzinga Bulls And Bears: Nvidia, Palantir, Marvell Technology — And Markets Rallied In May

Regeneron Pharmaceuticals, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/REGN#NASDAQ">REGN</a>) and Sanofi SA (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SNY#NASDAQ">SNY</a>) on Friday announced results from two Phase 3 trials of itepekimab in <a href="https://www.benzinga.com/general/health-care">chronic obstructive pulmonary disease (COPD) patients</a>.
Phase 3 AERIFY-1 trial evaluating itepekimab in adults who were former smokers with inadequately controlled COPD met the primary endpoint of significantly reducing moderate or severe acute exacerbations by 27% compared to placebo at week 52, <a href="https://www.benzinga.com/pressreleases/25/05/g45687030/itepekimab-met-primary-endpoint-in-one-of-two-chronic-obstructive-pulmonary-disease-copd-phase-3-t">a clinically meaningful benefit</a>.
A second Phase 3 trial, AERIFY-2, did not meet the same primary endpoint. Despite showing some benefit earlier in the trial (at week 24), itepekimab did not achieve a statistically significant reduction in moderate or severe exacerbations at week 52 in the second trial.

In the trials, patients were randomized to receive itepekimab every two weeks (AERIFY-1: n=375; AERIFY-2: n=326), every four weeks (AERIFY-1: n=377; AERIFY-2: n=303), or placebo (AERIFY-1: n=375; AERIFY-2: n=324), which was added to inhaled triple or double standard-of-care therapy.
The primary endpoint for AERIFY-1 and AERIFY-2 was the reduction in the annualized rate of acute moderate or severe COPD exacerbations with itepekimab treatment.
The total number of exacerbations was lower than prospectively anticipated, decreasing the power of both trials. Enrollment largely occurred during the global COVID-19 pandemic, which could have contributed to the lower overall exacerbation rates.
The safety profile of itepekimab was consistent across dosing regimens, and adverse events (AEs) were generally comparable between treatment and placebo groups.
Regeneron and Sanofi will review the data and discuss it with regulatory authorities to evaluate the next steps.
Itepekimab is also being evaluated in other respiratory conditions, including chronic rhinosinusitis without nasal polyps, chronic rhinosinusitis with nasal polyps, and non-cystic fibrosis bronchiectasis.
In November 2024, Regeneron and Sanofi&#8217;s Dupixent gained FDA approval for COPD, marking its sixth U.S. indication since its first use for atopic dermatitis&nbsp;<a target="_blank" href="https://www.benzinga.com/general/biotech/24/11/41945225/regeneron-sanofis-dupixent-approval-signals-major-treatment-breakthrough-for-smokers-lung-disease" rel="noreferrer noopener">seven years ago</a>.
This expansion positions Dupixent as the first targeted therapy for COPD, a significant leap in treating this progressive lung condition that impedes breathing due to obstructed airflow.
Last Thursday, the U.S. Food and Drug Administration (FDA) approved GSK Plc&#8217;s (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GSK#NYSE">GSK</a>) Nucala (mepolizumab) as an add-on maintenance treatment for adult patients with inadequately controlled COPD and <a href="https://www.gsk.com/en-gb/media/press-releases/nucala-mepolizumab-approved-by-us-fda/">an</a> eosinophilic phenotype.
Last June, the FDA approved&nbsp;Verona Pharma plc's&nbsp;(NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/VRNA#NASDAQ">VRNA</a>) Ohtuvayre (ensifentrine) for the maintenance treatment of chronic obstructive pulmonary disease (COPD)&nbsp;<a target="_blank" href="https://www.benzinga.com/general/biotech/24/06/39526177/first-inhaled-copd-therapy-in-over-2-decades-fda-approves-verona-pharmas-first-commercial-product" rel="noreferrer noopener">in adult patients</a>.
Ohtuvayre is the first inhaled product with a novel mechanism of action available for the maintenance treatment of COPD in more than 20 years.
In May, Sanofi announced it will invest at least $20 billion in the U.S. <a href="https://www.benzinga.com/general/health-care" target="_blank" rel="noreferrer noopener">through 2030</a>. Research and development, plus U.S. manufacturing, will receive the <a href="https://www.benzinga.com/25/05/45419235/sanofi-joins-other-big-pharma-to-navigate-potential-tariff-impact-with-at-least-20-billion-in-investments-through-2030" target="_blank" rel="noreferrer noopener">bulk of the spending</a>.
The company also expects higher job creation within the communities where Sanofi and its partners are located, which will help&nbsp;enhance the U.S. supply chain.
Earlier in May, Regeneron secured the winning bid in the bankruptcy auction for key assets of&nbsp;23andMe Holding Co.&nbsp;in a&nbsp;$256 million deal&nbsp;to boost its genetics-based <a target="_blank" href="https://www.benzinga.com/general/biotech/25/05/45504107/genetic-data-from-23andme-ends-up-with-this-company-in-256-million-deal" rel="noreferrer noopener">drug discovery efforts</a>.
Price Action: REGN stock is down 9.98% at $545, and SNY stock is down 4.57% at $49.96 during the premarket session at last check Friday.

Sanofi And Regeneron To Consult Regulators After Mixed Phase 3 COPD Results For Itepekimab, As AERIFY-1 Meets Primary Endpoint And AERIFY-2 Falls Short

The U.S. Health and Human Services Secretary Robert F. Kennedy Jr. announced Tuesday that the COVID-19 vaccine will no longer be among the recommended vaccines for pregnant women and healthy children on the US Centers for Disease Control and Prevention&#8217;s <a href="https://www.benzinga.com/general/health-care" target="_blank" rel="noreferrer noopener">immunization schedule</a>.
Kennedy announced the change in a&nbsp;video&nbsp;<a target="_blank" href="https://x.com/seckennedy/status/1927368440811008138?s=46&amp;t=dtUiyC3dUs5yGRgT9qYHWg" rel="noreferrer noopener">posted</a> to the social media platform X.
&#8220;As of today, the Covid vaccine for healthy children and healthy pregnant women has been removed from the CDC recommended immunization schedule,&#8221; Kennedy said. &#8220;Last year, the Biden administration urged healthy children to get yet another COVID shot, despite the lack of any clinical data to support the repeat booster strategy in children.&#8221;

As of Tuesday morning, the immunization schedule posted online had not yet been changed.
In 2021, Kennedy <a target="_blank" href="https://www.regulationsa.gov/document/FDA-2021-P-0460-0001" rel="noreferrer noopener">filed</a> a citizen petition&nbsp;requesting the FDA to revoke Emergency Use Authorizations for existing COVID-19 vaccines and refrain from approving and licensing them.
The update follows the FDA&#8217;s changes to COVID-19 vaccine requirements, limiting annual booster approvals to older and high-risk Americans while implementing stricter clinical trial <a target="_blank" href="https://www.benzinga.com/government/regulations/25/05/45537919/fda-limits-annual-covid-19-boosters-to-high-risk-americans-demands-new-trials-for-healthy-adults-in-policy-shift-under-rfk-jr" rel="noreferrer noopener">requirements for healthy adults</a>.
The FDA will now require new clinical trials for approval of annual COVID-19 boosters for healthy Americans under age 65, effectively restricting their availability to older adults and those at risk of severe illness, according to FDA Commissioner&nbsp;Marty Makary&nbsp;and top U.S. vaccines regulator&nbsp;Vinay Prasad&nbsp;in the New England Journal of Medicine, reported Reuters.
Last week, the FDA&#8217;s Vaccines and Related Biological Products Advisory Committee (VRBPAC) <a target="_blank" href="https://www.fda.gov/vaccines-blood-biologics/industry-biologics/covid-19-vaccines-2025-2026-formula-use-united-states-beginning-fall-2025" rel="noreferrer noopener">voted</a> to recommend a monovalent JN.1-lineage vaccine composition.
Based on the totality of the evidence, the FDA has advised the manufacturers of the approved COVID-19 vaccines that to more closely match currently circulating SARS-CoV-2 viruses, the COVID-19 vaccines for use in the United States beginning in fall 2025 should be monovalent JN.1-lineage-based COVID-19 vaccines (2025-2026 Formula), preferentially using the LP.8.1 strain.&nbsp;
On Friday, Moderna Inc.&nbsp;(NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MRNA#NASDAQ">MRNA</a>) submitted an application to the FDA to review its Spikevax 2025-2026 formula, targeting the SARS-<a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/ac45595488/moderna-files-fda-application-for-the-lp-8-1-targeting-covid-19-vaccine" rel="noreferrer noopener">CoV-2 variant LP.8.1</a>.
Also, Novavax Inc.&nbsp;(NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NVAX#NASDAQ">NVAX</a>) received limited FDA approval for its COVID-19 vaccine, Nuvaxovid, marking a regulatory milestone and unlocking a&nbsp;$175 million milestone payment&nbsp;from partner&nbsp;Sanofi SA&nbsp;(NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SNY#NASDAQ">SNY</a>)
The approval came after a six-week delay as regulators <a target="_blank" href="https://www.benzinga.com/25/05/45295534/novavax-reports-q1-profit-as-revenue-surges-to-over-600-million-and-lower-costs-raises-2025-forecasts" rel="noreferrer noopener">sought additional data</a>.
The vaccine is now authorized for people aged 65 and older and for individuals 12 and up with underlying medical conditions that increase the <a target="_blank" href="https://www.benzinga.com/25/05/45496095/novavax-scores-key-fda-win-shares-jump-19-as-sanofi-milestone-unlock" rel="noreferrer noopener">risk of severe COVID-19</a>.
Price Action: MRNA stock is down 2.86% at $27.01 at the last check Tuesday.

Vigil Neuroscience, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/VIGL#NASDAQ">VIGL</a>) on Wednesday disclosed that it entered a deal to be acquired by Sanofi (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SNY#NASDAQ">SNY</a>) for&nbsp;an equity value of approximately <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/g45555759/vigil-neuroscience-enters-into-definitive-merger-agreement-to-be-acquired-by-sanofi" rel="noreferrer noopener">$470 million (on a fully diluted basis)</a>.
Per the terms, Sanofi will pay $8.00 per share in cash to acquire Vigil. In addition, shareholders will be granted a non-tradeable contingent value right (CVR), which could provide an extra $2.00 per share in cash if VG-3927 achieves its first commercial sale <a target="_blank" href="https://www.benzinga.com/pressreleases/25/05/g45555705/press-release-sanofi-to-acquire-vigil-neuroscience-inc-adding-a-new-investigational-medicine-to-tr" rel="noreferrer noopener">within a designated timeframe</a>.
The total equity value of the transaction, including the potential CVR payment, represents approximately $600 million on a fully diluted basis.

This acquisition, expected to close in the third quarter of 2025, strengthens Sanofi&#8217;s neurology pipeline with VG-3927, an oral TREM2 agonist for Alzheimer&#8217;s disease, addressing a critical unmet need in treatment.
Ivana Magovčević-Liebisch, Ph.D., J.D., President and CEO of Vigil, said, &#8220;Sanofi&#8217;s development capabilities, therapeutic expertise, global footprint, and financial strength provide the greatest opportunity to further the development of VG-3927 for the potential treatment of Alzheimer&#8217;s disease and potentially bring this important and differentiated therapy to those struggling with the immense burden of this disease.&#8221;
Houman Ashrafian, M.D., Ph.D., Head of Research and Development of Sanofi, added, &#8220;TREM2 represents a compelling target at the intersection of immune dysregulation and neurodegeneration, particularly in people living with Alzheimer&#8217;s because they face devastating cognitive decline with limited treatment options.&#8221;
In April 2025, Vigil Neuroscience presented new data from its oral small molecule program, featuring its lead candidate, VG-3927, through two oral presentations at the AD/PD 2025 <a target="_blank" href="https://www.benzinga.com/pressreleases/25/04/g44603290/vigil-neuroscience-presents-data-on-its-small-molecule-trem2-agonist-vg-3927-in-two-oral-presentat" rel="noreferrer noopener">International Conference in Austria</a>.
At that time, Ivana Magovčević-Liebisch said the two presentations highlight the strong potential of VG-3927. This oral, brain-penetrant TREM2 agonist showed positive results in Phase 1, with good safety, tolerability, and drug activity.
She further explained that VG-3927 could offer a new way to treat Alzheimer&#8217;s disease by targeting more than just amyloid buildup.
Vigil plans to begin Phase 2 trials of VG-3927, the only once-daily oral TREM2 agonist currently in clinical development, later this year.
Vigil&#8217;s monoclonal antibody program, Iluzanebart (VGL101), is excluded from the acquisition by Sanofi. Before the transaction is finalized, the exclusive license agreement with Amgen for VGL101 will be terminated, and the rights to the program will be returned to Amgen, its original licensor.
Price Action: SNY shares were trading lower by 0.36% to $52.71 premarket at last check Thursday, and VIGL shares traded higher by 245.9% at $7.99.

Sanofi Boosts Alzheimer's Pipeline With Vigil Neuroscience Acquisition

Financial considerations Under the terms of the merger agreement, Sanofi and Vigil have agreed to the following:
<ul>
<li>Sanofi will acquire all outstanding common shares of Vigil for $8 per share in cash at closing, representing an equity value of approximately $470 million (on a fully diluted basis)</li>
<li>In addition, Vigil's shareholders will receive a non-transferrable contingent value right (CVR) per Vigil share, which will entitle its holder to receive a deferred cash payment of $2, conditioned upon the first commercial sale of VG-3927.</li>
</ul>
To demonstrate their commitment to the transaction, Bruce Booth, Atlas Ventures, and CEO Ivana Magovčević-Liebisch have signed voting and support agreements in favor of the deal. The shares subject to these agreements represent a total of approximately 16.2% of Vigil's total common shares outstanding.

In the current session, the stock is trading at $53.16, after a 0.51% spike. Over the past month, Sanofi Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/SNY#NASDAQ">SNY</a>) stock increased by 0.04%, and in the past year, by 8.24%. With performance like this, long-term shareholders are optimistic but others are more likely to look into the price-to-earnings ratio to see if the stock might be overvalued.

Compared to the aggregate P/E ratio of the 28.58 in the Pharmaceuticals industry, Sanofi Inc. has a lower P/E ratio of 18.95. Shareholders might be inclined to think that the stock might perform worse than it's industry peers. It's also possible that the stock is undervalued.
