The Details: Under the definitive agreement, The Doctors Company will acquire ProAssurance for $25 per share, representing a 60% premium over the closing price per share on March 18.
The transaction is valued at approximately $1.3 billion. Once completed, the combined company will have assets totaling around $12 billion.
&#8220;Both ProAssurance and The Doctors Company were founded by physicians in response to the medical liability crisis of the 1970s. Both companies have grown over the years by bringing together other physician-founded companies,&#8221; said Ned Rand, ProAssurance&#8217;s President and CEO.

ProAssurance Stock Jumps 50% On Takeover Deal With The Doctors Company

Addition of ProAssurance Corporation fortifies the promise of The Doctors Company to the medical professional liability market for generations to come
The Doctors Company, the nation&#39;s largest physician-owned medical malpractice insurer, and ProAssurance Corporation (NYSE:<a href="https://www.benzinga.com/stock/PRA#NYSE">PRA</a>), an industry-leading specialty insurer with extensive expertise in medical liability, products liability for medical technology and life sciences, and workers&#39; compensation insurance, today announced that they have entered into a definitive agreement under which ProAssurance will be acquired by The Doctors Company. Under the terms of the agreement, ProAssurance stockholders will receive $25.00 in cash per share, representing an approximately 60% premium to the closing price per share of ProAssurance common stock on March 18, 2025, the last trading day prior to today&#39;s announcement, with a transaction value of approximately $1.3 billion. The combined company will have assets of approximately $12 billion.

U.S. stocks were mixed, with the Dow Jones gaining over 100 points on Tuesday.
Shares of Itron, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ITRI#NASDAQ">ITRI</a>) rose sharply during Tuesday's session after the company reported <a href="https://www.benzinga.com/quote/ITRI/earnings">better-than-expected fourth-quarter financial results.</a>
Itron posted quarterly earnings of $1.35 per share, beating market estimates of $1.05 per share. The company's quarterly sales came in at $612.864 million beating estimates of $603.204 million.
Additionally, the company issued FY25 EPS guidance above estimates.
Itron shares jumped 9.7% to $101.57 on Tuesday.

Itron Posts Upbeat Results, Joins AdaptHealth, EverQuote, Goosehead Insurance And Other Big Stocks Moving Higher On Tuesday

Citizens Capital Markets analyst Matthew J. Carletti reiterated the Market Outperform rating on ProAssurance Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/PRA#NYSE">PRA</a>), <a href="https://www.benzinga.com/quote/PRA/analyst-ratings" target="_blank" rel="noreferrer noopener">with a price targe of $20.</a>
The company reported on Monday fourth-quarter results, where net investment income increased 9%. Gross premiums written fell 0.5% to $207.67 million.
Carletti noted the core Specialty P&amp;C segment&#8217;s accident-year loss ratio matched expectations at 83%, reflecting continued caution around loss severity in select jurisdictions, while the Workers&#8217; Compensation segment&#8217;s loss ratio also met expectations at 77%, driven by elevated medical loss trends.
GWP in the core Specialty P&amp;C segment remained flat, in line with estimates, with cautious underwriting amidst a competitive market, solid renewal pricing (+8%), and retention (84%).

The analyst wrote Workers&#8217; Compensation GWP rose by 6%, surpassing estimates mainly due to higher audit premiums, though lower new business ($3 million vs. $5 million last year) partially offset the increase.
The analyst observes that as courts cleared post-COVID-19 pandemic backlogs, a surge in large jury verdicts and social inflation emerged, prompting ProAssurance to adopt a &#8220;defense&#8221; strategy, focusing on necessary rate increases to cover elevated loss costs, which could limit near-term growth.
While frequency has declined in its workers&#8217; compensation business, severity persists.
ProAssurance&#8217;s aggressive pricing actions and constrained growth have allowed it to stay ahead of &#8220;loss cost trends,&#8221; resulting in stable loss ratios and favorable PPD levels.
The analyst noted the company was in a stronger, more stable position than a year ago and viewed the current 40%+ discount to book value as an overreaction.
PRA Price Action: ProAssurance shares traded higher by 14.10% to $16.10 at publication Tuesday.
