Cantor Equity Partners Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CEP#NASDAQ">CEP</a>) were trading higher Thursday following news that the company will merge with a newly formed Bitcoin-focused entity called <a href="https://www.benzinga.com/markets/cryptocurrency/25/04/44975441/cantor-fitzgerald-backed-twenty-one-launches-strategy-rival-at-3-billion-valuation">Twenty One. </a>
What To Know: The deal, announced on April 24, 2025, values the new venture at $3.6 billion and positions it as the third-largest public holder of Bitcoin globally, after MicroStrategy and Tether.
The transaction is backed by major crypto and tech players including Tether, SoftBank Group and Jack Mallers, who will serve as CEO of Twenty One. Tether and Bitfinex will retain majority ownership, while SoftBank will hold a substantial minority stake. The merged entity will control approximately 42,000 Bitcoin and intends to increase its holdings further.
In addition to the merger, Twenty One has raised $585 million in fresh capital — $385 million via convertible senior secured notes and $200 million in equity. The funds will primarily be used to purchase additional Bitcoin and support general operations. Tether has committed to acquiring the Bitcoin before the deal officially closes.
Twenty One will focus on Bitcoin-native financial tools, such as lending platforms and performance metrics like &#8220;Bitcoin Per Share&#8221; and &#8220;Bitcoin Return Rate.&#8221; The company also plans to build Bitcoin-centric media content and capital markets products. It aims to be a pure-play public vehicle for Bitcoin accumulation and adoption, diverging from traditional financial reporting standards by emphasizing Bitcoin ownership per share over fiat earnings.
Following the merger, shares will trade under the ticker "XXI" on Nasdaq. Until then, Cantor Equity Partners will continue trading as "CEP." The transaction is still subject to shareholder approval and customary closing conditions.

Chipotle Mexican Grill Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CMG#NYSE">CMG</a>) reported <a href="https://www.benzinga.com/general/restaurants/25/04/44965628/chipotle-investors-get-burnt-on-q1-earnings-as-comparable-sales-fall-amid-slowdown-in-consumer-spending">first-quarter FY25 earnings </a>on Wednesday after market close.

Goldman Sachs: Chipotle's first-quarter 2025 results came in close to expectations, with adjusted earnings of 29 cents versus consensus estimates of 28 cents.
Traffic fell more than anticipated at -2.3%. This contributed to a slowdown as same-store sales growth declined 0.4% compared to a 5.4% gain in the prior quarter.
Total revenue of $2.88 billion missed projections by 2–4%, despite steady new store openings. Margins slightly outperformed expectations, with restaurant-level margin at 26.2% and EBITDA margin at 20.1%. 
Management struck a cautious tone. Traffic, they warn, may stay negative through the first half of the year due to consumer spending uncertainty.
Chipotle has revised its estimates on the impact of recent tariffs. The company now expects a 20 basis point cost hit in the second quarter, mainly due to existing inventory. 
The ongoing effect on the cost of sales is projected at 50 basis points. That&#8217;s down from the 60 basis points forecast in February. Guidance does not include potential effects from delayed tariffs or the 25% duties on imports from Mexico and Canada.
Despite near-term pressure, the analyst remains optimistic long-term. Growth initiatives such as the Chipotle Honey Chicken limited-time offer, stronger marketing efforts, and operational upgrades should help, analysts noted.
Bank of America: Chipotle's same-store sales growth (SSSG) of -0.4% in the first-quarter fell short of expectations, though the analyst suggests calendar shifts and weather may have masked steadier underlying trends.
Encouragingly, a pickup in the two-year growth rate from March to April signals potential momentum. The BofA analyst also expects improved sales ahead, driven by easier year-over-year comparisons, strong performance from limited-time offers like honey chicken, and increased ad spending.
Analysts expect upcoming tariffs to weigh on margins by 20 basis points in the second quarter and 50 basis points for the full year. Efficiencies from prior portion investments and operational upgrades like new kitchen equipment should counterbalance these pressures.
Price Action: CMG shares traded higher by 0.79% at $49.15 at last check Thursday.

NVIDIA Corp (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NVDA#NASDAQ">NVDA</a>) shares were trading up on Thursday, lifted by overall market strength following stronger-than-expected U.S. economic data and renewed optimism over <a href="https://www.benzinga.com/economics/macro-economic-events/25/04/44979310/durable-goods-orders-jump-9-2-in-march-but-one-category-tells-the-real-story">U.S.-China relations. </a>
What To Know: The broader semiconductor sector moved higher after the U.S. Census Bureau reported that durable goods orders increased 9.2% in March, marking the biggest monthly gain since July 2024 and far exceeding forecasts of a 2% rise.
The jump was primarily driven by transportation equipment orders, which surged 27% due to a 139% spike in nondefense aircraft orders. While this category accounted for most of the headline growth, underlying demand in other sectors remained weak. New orders excluding transportation were flat, with computers and electronic products, a category relevant to Nvidia's supply chain, declining 1.2%. Within that, computers and related products saw a 2.9% drop in new orders, indicating ongoing softness in hardware demand.
Despite this, Nvidia shares gained alongside other tech and chip stocks as the market reacted positively to the headline economic data and comments from President Donald Trump, who announced a meeting with Chinese officials earlier in the day. The meeting raised hopes of improved U.S.-China trade relations, a key factor for companies like Nvidia with significant exposure to global supply chains and international sales.
The increase in Nvidia's share price reflects broader investor sentiment rather than company-specific developments. With economic signals pointing to potential near-term industrial momentum and geopolitical developments providing a lift to risk appetite, Nvidia benefited from the shift in market tone, even as parts of the tech sector showed signs of soft demand.
