VANCOUVER, British Columbia, May 06, 2025 (GLOBE NEWSWIRE) -- NOVAGOLD RESOURCES INC. ("NOVAGOLD" or "the Company") ((NYSE American, TSX:<a href="https://www.benzinga.com/stock/NG#TSX">NG</a>) today announced that it intends to offer and sell up to 43,500,000 common shares in a public offering.&nbsp;In addition, NOVAGOLD expects to grant the underwriters a 30-day option to purchase up to an additional 6,525,000 common shares at the public offering price, less underwriting discounts, and commissions.&nbsp;The proposed offering is subject to market conditions and other closing conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the terms of the offering.
Concurrently with the proposed public offering, the Company intends to complete a private placement of common shares to certain of its major shareholders at the public offering price. NOVAGOLD intends to use the net proceeds from the offering and the concurrent private placement described above to fund the purchase price for NOVAGOLD's previously announced acquisition1 of an additional 10% ownership interest in Donlin Gold LLC and to use the remaining net proceeds, if any, for general corporate purposes including updating the feasibility study.
Citigroup, RBC Capital Markets, and BMO Capital Markets are acting as joint book-running managers for the public offering.

Enphase Energy reported first-quarter revenue of $356.1 million, missing the consensus estimate of $361.43 million. The solar company reported adjusted earnings of 68 cents per share, missing analyst estimates of 70 cents per share, according to Benzinga Pro.
Enphase Energy shares dipped 11.5% to $47.22 in the pre-market trading session.

Why Vertiv Holdings Shares Are Trading Higher By 17%; Here Are 20 Stocks Moving Premarket

Billionaire investor John Paulson and NovaGold Resources, Inc. (AMEX:<a class="ticker" href="https://www.benzinga.com/stock/NG#AMEX">NG</a>) have agreed to purchase a significant stake in the Donlin Gold project in Alaska. Barrick Gold Corp. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GOLD#NYSE">GOLD</a>) will sell its entire 50% interest in the project <a href="https://www.benzinga.com/25/04/44927342/novagold-partners-inks-deal-with-barrick-gold-boosts-stake-in-donlin-project-for-1-billion">for $1 billion in cash.</a>
The Details: Novagold will purchase a 10% stake in Donlin Gold for $200 million, raising its ownership to 60% from 50%.
Paulson &amp; Co. will acquire the remaining 40% for $800 million, becoming a full and equal partner in managing the Donlin Gold project.
The Donlin Gold Project is a planned mining operation located in Alaska, with estimated gold reserves of approximately 39 million ounces — making it one of the world's largest undeveloped gold deposits.

In fact, Monday's 3%-plus gold rally was the fifth time in the past 10 trading days that gold climbed at least 2% in a single day. The only periods that experienced a higher frequency of 2%-plus daily moves in the past 50 years were in January and June 1980, according to Bespoke Investment Group.

As per the terms, Novagold will purchase an additional 10% stake in Donlin Gold LLC for $200 million. The purchase raises its ownership to 60% from 50%.
Paulson Advisers will acquire the remaining 40% for $800 million, becoming a full and equal partner in managing the Donlin Gold project.
To fund its share of the acquisition, Novagold secured $170 million in equity commitments from Paulson, Electrum, and Kopernik at $3.00 per share. The balance of $30 million to be funded from its treasury.
The investors also received five-year warrants for 25.5 million shares at the same price.
This transaction establishes a new partnership between Novagold and Paulson aimed at advancing the Donlin Gold project.
The deal is expected to close in late second quarter or early third quarter of 2025.
Upon closure, Novagold and Paulson will sign a revised limited liability company agreement for Donlin Gold, granting both parties equal governance rights.
Additionally, Barrick has provided Novagold with the option to acquire the outstanding debt <a target="_blank" href="https://www.benzinga.com/pressreleases/25/04/g44918287/barrick-announces-sale-of-stake-in-donlin-gold-project-for-up-to-1-1-billion" rel="noreferrer noopener">related to the Donlin Gold Project</a>.
Novagold can purchase the debt for $90 million if exercised before the deal closes. It can cost $100 million if exercised within 18 months after closing, at which point the option will expire.
If Novagold chooses not to exercise this option, the debt will continue under its current terms.
The company&#8217;s partners will review the previously disclosed 2025 Donlin Gold expenditure of approximately $43 million on a 100% basis.
