("Elliott"), which manages funds that together have an investment representing an approximately&nbsp;11% economic interest in Southwest Airlines Co. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LUV#NYSE">LUV</a>) (the "Company" or "Southwest"), today sent a second open letter to its fellow Southwest shareholders.
In the letter, Elliott Partner John Pike and Portfolio Manager Bobby Xu wrote that although Elliott's goal has been to collaborate with Southwest to restore accountability and best-in-class financial performance, Southwest has chosen a go-it-alone path, featuring a chaotic series of defensive actions, with the goal of obstructing a leadership change that is urgently needed. The letter made clear that Elliott intends to formally call a special meeting in the coming weeks – possibly as soon as next week.
The letter also alerted shareholders to certain defensive actions that Southwest's leaders are taking and urged them to take action to ensure they would be able to vote their shares. Southwest has provided several potential record dates (so-called "false record dates") to banks and brokers in anticipation of Elliott calling a special meeting. The next "false record date" set by Southwest is October 7. Therefore, Elliott strongly urged all Southwest shareholders – especially those who engage in share lending or authorize their brokers to engage in share lending – to work with their banks and brokers as soon as possible to confirm that they are able to vote all their Southwest shares by no later than October 7.

Southwest over the summer announced a <a href="https://www.cnbc.com/2024/07/25/southwest-airlines-seat-assignments.html">host of major changes</a> to its more than 50-year-old business model to drum up revenue. It plans to ditch open seating for assigned seats, offer seats with more legroom that fetch a higher fare and start red-eye flights.

It has also started allowing its flights to be listed on <a href="https://www.cnbc.com/quotes/GOOG/">Google</a> Flights and <a href="https://www.cnbc.com/quotes/BKNG/">Kayak</a> and has changed its ads to target more younger consumers, COO Andrew Watterson said in a video message to staff last week.
"Now, all that's not enough. We also have to change our network," Watterson said in the video, a transcript of which was seen by CNBC.
"We have a couple of difficult decisions heading our way. It's not station closures. But we need to keep moving the network to help us drive back to profitability," Watterson said. "And so I apologize in advance if you as an individual are affected by it."
Southwest isn't planning to announce furloughs, but it could cut its footprint in certain cities and staff could transfer to other locations, according to a person familiar with the matter. The airline is seeking to reduce costs and focus on profitable flying, the company has said.
Other carriers like <a href="https://www.cnbc.com/quotes/JBLU/">JetBlue</a> have <a href="https://www.cnbc.com/2024/03/19/jetblue-cuts-routes-los-angeles-south-america.html">cut routes</a> this year to deploy aircraft on flights that generate higher revenue.

Southwest is set to provide more details about its initiatives and route changes at an investor day this Thursday at its Dallas headquarters.
Elliott has <a href="https://www.cnbc.com/2024/07/06/southwest-elliott-history-settlement-proxy-fight.html">pushed for a leadership change</a> at the airline and has criticized Southwest management for not doing enough to improve the company's bottom line. Smart Money Is Betting Big In LUV Options

Southwest Airlines (NYSE: <a class="ticker" href="https://www.benzinga.com/stock/luv#NYSE">LUV</a>) received encouraging tidings on the labor front when it inked a tentative agreement with the company&#39;s flight simulator technicians&#39; union, International Brotherhood of Teamsters Local 19, for a new collective bargaining agreement. There are more than 50 flight simulator technicians at the Dallas-based carrier. These technicians are responsible for providing essential maintenance and engineering support. By doing so, they ensure the reliability and safety of flight training equipment.
Now the provisional deal will be voted upon by flight attendants. This deal will be materialized only if the voting outcome is favorable. The agreement on becoming effective will make simulator technicians eligible for significant gains in compensation. Southwest Airlines Inks Provisional Deal With Simulator Technicians

Southwest Airlines (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LUV#NYSE">LUV</a>) stock is moving lower on Tuesday. The company announced that its Board of Director&#8217;s Executive Chairman Gary Kelly, along with six other Board members, will resign.
The Details: Kelly will resign following the 2025 Annual Meeting and the other six Board members will resign following the November Board meeting.
The other departing Board members include David Biegler, Veronica Biggins, Roy Blunt, William Cunningham, Thomas Gilligan and Jill Soltau. In addition, the Board is eliminating the Executive Committee structure. The Board has now created a Finance Committee which will aid the Board with oversight of financial and operational plans. 
The Board anticipates filling the Finance Committee with new and remaining Directors in November along with appointing a new Lead Director and Committee Chairs for each of the Audit, Compensation, and Nominating and Corporate Governance Committees. These resignations and changes to the Board&#8217;s structure come following feedback from shareholders.
Elliott Investment Management, a stakeholder in Southwest, said in a press release Tuesday, &#8220;We are pleased that the Board is beginning to recognize the degree of change that will be required at Southwest, and we hope to engage with the remaining directors to align on the further necessary changes.&#8221;
