KKR, a leading global investment firm, today announced that in connection with its two-stage tender offer scheme (the "Tender Offer") for the common shares and share options of FUJI SOFT INCORPORATED (TSE stock code 9749; "FUJI SOFT") through FK Co., Ltd. (the "Offeror"), the Offeror, an entity owned by investment funds managed by KKR, will conduct the Second Tender Offer at a price of 9,451 yen per common share. KKR expects to commence the Second Tender Offer as soon as the middle of next week.

KKR Receives Support And Recommendation From FUJI SOFT For Second Tender Offer And Expects To Launch Tender Offer Next Week

ValueAct Holdings, L.P. reported holdings worth $3.9 billion in the September quarter after it disclosed major changes in its 13F filing for the third quarter of current fiscal. 
What Happened: One of the major changes in its holdings during Q3 was the addition of 211,500 shares of Meta Platforms Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/META#NASDAQ">META</a>) for $121.07 million, representing 3.08% of its total portfolio.
ValueAct Holdings is a hedge fund popularly known for its activist strategies, run by chief executive officer, Mason Morfit. An activist hedge fund usually follows an event-driven strategy and acquires sufficient equity to influence a company's policies, to increase company value. ValueAct has a long history of investing in technology companies and is generally considered to be more constructivist and collaborative than other activist funds.
A ValueAct spokesperson confirmed to <a href="http://pro.benzinga.com">Benzinga</a> that the firm has built a $1 billion stake in Meta.
In 2022, Brad Gerstner&#8216;s Altimeter Capital targeted Meta, urging the company to reduce its workforce. Gerstner articulated his concerns in <a href="https://www.benzinga.com/news/22/10/29380959/meta-investor-proposes-curb-on-employees-strength-metaverse-spending">a letter titled &#8220;Time to Get Fit.</a>
ValueAct fund's specific intentions remain unclear, but CEO Morfit is reportedly supportive of Meta CEO Mark Zuckerberg&#8217;s strategic focus on advancing artificial intelligence initiatives, <a href="https://www.cnbc.com/2024/11/12/activist-valueact-has-1-billion-stake-in-meta-sources-say.html">according</a> to CNBC.
Why It Matters: According to its Q3 <a href="https://13f.info/13f/000141881224000021/compare/000141881224000017">13F filing</a>, ValueAct has acquired a passive stake in the parent company of Facebook, Instagram and WhatsApp, namely, Meta. It is one of the largest companies to be targeted by an activist investor, with a market cap of nearly $1.5 trillion. Apart from adding Meta, ValueAct has made some major changes to its portfolio which consists of ten holdings. The fund has increased its stake in the American video game developer Roblox Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/RBLX#NYSE">RBLX</a>) by adding 7.83 million shares in Q3. It now represents 8.81% of ValueAct&#8217;s portfolio, having a total value of $448.62 million.
Live Nation Entertainment Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/LYV#NYSE">LYV</a>), Visa Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/V#NYSE">V</a>) and Liberty Media Corp (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/LLYVK#NASDAQ">LLYVK</a>) are other new holdings that ValueAct has added to its portfolio.

(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/KKR#NYSE">KKR</a>) and Energy Capital Partners disclosed a strategic partnership worth $50 billion to drive development in data centers, power generation, and transmission infrastructure to support AI and <a target="_blank" href="https://www.benzinga.com/pressreleases/24/10/b41620896/kkr-and-energy-capital-partners-announce-50-billion-strategic-partnership-to-support-ai-growth-thr" rel="noreferrer noopener">cloud computing growth worldwide</a>.
This collaboration leverages KKR&#8217;s digital infrastructure and energy expertise with ECP&#8217;s platform in electrification, power, and renewable energy.
The strategic alliance seeks to deliver large-scale data center and power solutions tailored for hyperscalers and other market participants, meeting their infrastructure requirements across different regions to enable extensive model training, tuning, and inferencing.
KKR and ECP intend to work alongside industry leaders, such as utilities, power and data center developers, and independent power producers, to accelerate the development of the data center campuses essential for hyperscalers.
Notably, U.S. data center demand is expected to nearly triple by 2030, potentially fueling over $1 trillion in investments. A typical planned data center campus can exceed 1 gigawatt (GW) in power demand, requiring upwards of $15 billion in data center and power infrastructure investments.
Joe Bae, Co-Chief Executive Officer, KKR said, &#8220;Data center power demand is expected to grow by 160% by 2030, a demand that will go unmet without the right infrastructure in place, which is critical to boosting productivity, supporting electrification and helping countries create a competitive edge in AI.&#8221;
Waldemar Szlezak, Partner and Global Head of Digital Infrastructure, KKR, stated, &#8220;With our combined footprint and capabilities, we have a more than 8 GW existing datacenter pipeline, 100 GW of currently operating and development-ready power generation, and significant experience working with stakeholders across both industries to help realize this opportunity quickly and responsibly.&#8221;
This week, KKR and Capital Group submitted registration statements to the SEC for two public-private fixed-income funds: Capital Group KKR Core Plus+ and <a target="_blank" href="https://www.benzinga.com/pressreleases/24/10/n41599362/capital-group-and-kkr-advance-public-private-investment-solutions-for-individual-investors" rel="noreferrer noopener">Capital Group KKR Multi-Sector+</a>.
Both funds are anticipated to launch in the U.S. during the first half of 2025, pending regulatory approval.
