Reported Earlier, Goodyear Sets $500M Bond Offering At 6.625% To Refinance Portion Of Outstanding 2026 Notes

The Goodyear Tire &amp; Rubber Company (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/GT#NASDAQ">GT</a>) ("Goodyear" or the "company") today announced that it has commenced a public offering of&nbsp;$500 million&nbsp;aggregate principal amount of 5-year senior notes (the "notes"). The notes will be senior unsecured obligations of the company. Issuance and sale of the notes is subject to market and other customary closing conditions.
Goodyear intends to use the net proceeds from this offering, together with its current cash and cash equivalents, to redeem in full the company's remaining 5.000% Senior Notes due 2026 (the "2026 Notes"). Currently, there is $900 million&nbsp;in aggregate principal amount of the 2026 Notes outstanding. On May 29, 2025, the company issued a notice of redemption to the holders of the 2026 Notes for $400 million of the 2026 Notes, which we intend to fund using a portion of the cash proceeds from the Dunlop brand disposition. The redemption date for the redemption of the $400 million of 2026 Notes is June 30, 2025. This press release does not constitute a notice of redemption under the optional redemption provisions of the indenture governing the 2026 Notes.

Goodyear Tire & Rubber Commences Public Offering Of $500M Aggregate Principal Amount Of 5-Yr Senior Notes

The Goodyear Tire &amp; Rubber Company (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/GT#NASDAQ">GT</a>) on Thursday disclosed a deal to divest the majority of its <a href="https://www.benzinga.com/pressreleases/25/05/n45575257/goodyear-announces-sale-of-chemical-business">Goodyear Chemical business</a> to Gemspring Capital Management, LLC.
As per the terms of its divestiture, Gemspring Capital will acquire Goodyear Chemical for around $650 million in cash at closing, pending customary post-closing adjustments.
The acquisition covers two operational plants in Houston and Beaumont, Texas, along with a research and development center in Akron, Ohio.

Goodyear will maintain ownership of its Chemical facilities in Niagara Falls, New York, and Bayport, Texas, as well as the rights to the products manufactured at those sites.
Goodyear Chemical, a major synthetic rubber manufacturer with a diverse product range in North America, serves markets including automotive aftermarket, consumer, and industrial sectors.
This transaction stems from a strategic review of the Chemical business, undertaken as part of Goodyear&#8217;s Forward transformation plan.
The transaction is expected to close by late 2025, pending regulatory approval and other customary closing conditions.
Goodyear plans to use the proceeds from the sale to reduce its debt and fund key initiatives under its Goodyear Forward transformation strategy.
Mathew Wallace, managing director at Gemspring, stated, &#8220;Goodyear Chemical is an industry leader, underpinned by deep customer relationships, a mission-critical product portfolio, a track record of innovation, and incredibly talented employees.&#8221;

As of March 31, 2025, Goodyear had $8.10 billion in long-term debt (Long Term Debt and Finance Leases, Operating Lease Liabilities) and held $978 million in cash and equivalents.

Goodyear Offloads Chemical Business To Reduce Debt, Fund Growth

The Goodyear Tire &amp; Rubber Company (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/GT#NASDAQ">GT</a>) ("Goodyear" or the "Company") today announced that it has signed a definitive agreement to sell the majority of its Goodyear Chemical business to Gemspring Capital Management, LLC. The transaction follows a previously announced strategic review of Goodyear's Chemical business in connection with the Goodyear Forward transformation plan.
Goodyear Chemical is a leading producer of synthetic rubber, offering a broad product portfolio in North America and serving the automotive aftermarket as well as the consumer and industrial end markets. Pursuant to the transaction terms, Gemspring will pay Goodyear cash proceeds at closing of approximately $650 million, subject to certain post-closing adjustments, for Goodyear Chemical facilities in Houston and Beaumont, Texas, and a related research office in Akron, Ohio. Additionally, the transaction provides for a long-term supply agreement.
The transaction is subject to regulatory approval, as well as other customary closing conditions and is expected to close by late 2025. Goodyear intends to use transaction proceeds to reduce leverage and fund initiatives in connection with the Goodyear Forward transformation plan.
Goodyear will retain its Chemical facilities in Niagara Falls, New York, and Bayport, Texas, and its rights to the products produced at such facilities.

Goodyear Tire & Rubber Agrees To Sell Majority Of Goodyear Chemical Business To Gemspring Capital Management For About $650M

JPMorgan analyst Ryan Brinkman moved Goodyear Tire &amp; Rubber (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/GT#NASDAQ">GT</a>) from no rating to Overweight and a <a href="https://www.benzinga.com/quote/GT/analyst-ratings" target="_blank" rel="noreferrer noopener">price forecast of $17</a><a href="https://www.benzinga.com/quote/GT/analyst-ratings">.</a>
The analyst says that the decision reflects improved execution, ongoing debt reduction, sharper operational focus and anticipated benefits from newly implemented Section 232 automotive and &#8221;reciprocal&#8221; tariffs.
These &#8221;reciprocal&#8221; tariffs are expected to favor domestic tire producers, particularly Goodyear, which sources only 12% of its U.S. tire sales from affected countries, compared to over 50% for the broader industry, adds the analyst.

The company is actively advancing its "Goodyear Forward" strategy, introduced in November 2023, with a primary objective of improving operating margins to align more closely with industry peers, says the analyst.
Brinkman expects Goodyear's enhanced and expedited Forward profit improvement efforts, largely driven by a cost-saving restructuring initiative, to continue boosting earnings.
The analyst notes that this strategy includes a mix of aggressive cost-cutting measures and go-to-market initiatives aimed at boosting profitability, targeting a total annualized benefit of $1.3 billion by the end of the fourth quarter of 2025.
These stronger earnings, coupled with lower-than-anticipated restructuring expenses, are projected to contribute to the company's debt reduction initiative, adds the analyst.
In particular, the analyst anticipates net debt leverage to decrease significantly to around 2.8x by the end of 2025.
The analyst further writes that under the leadership of new CEO Mark Stewart, Goodyear appears to be operating with increased urgency, confidence and determination.
The analyst estimates that the company is on track to nearly double its Segment Operating Income margin, increasing from 4.8% in 2023 to an annualized rate of approximately 10% by the end of the fourth quarter of 2025.
