Chewy Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CHWY#NYSE">CHWY</a>) shares are moving lower in Wednesday&#8217;s after-hours session after the company announced a public offering by a selling stockholder and a <a href="https://www.benzinga.com/pressreleases/24/12/b42448132/chewy-inc-announces-public-offering-of-class-a-common-stock-by-selling-stockholder-and-concurrent-">concurrent share repurchase</a>.
What Happened: After the market close on Wednesday, Chewy announced an underwritten public offering of&nbsp;$500 million&nbsp;of its common stock, being sold by Buddy Chester Sub LLC, an entity affiliated with funds advised by Chewy&#8217;s largest shareholder&nbsp;BC Partners Advisors.
The selling stockholder plans to grant the underwriters a 30-day option to purchase up to an additional $75 million of Chewy common stock. Chewy will not be selling any shares in the offering, and will not receive any proceeds. 
In connection with the offering, Chewy agreed to purchase $50 million of its common stock at the same price paid by the underwriters in the offering. The repurchased shares will be retired upon completion. The concurrent repurchase was approved by a special committee of Chewy&#8217;s board.

Chewy shares are up approximately 37% year-to-date. The rally in the pet retailer&#8217;s stock accelerated over the summer after meme stock trader&nbsp;Keith Gill,&nbsp;also known as&nbsp;&#8220;Roaring Kitty,&#8221;&nbsp;announced a stake in the company.

GameStop and several other meme stocks popped last week after Gill <a href="https://www.benzinga.com/general/social-media/24/12/42349100/gamestop-rockets-as-roaring-kitty-returns-to-x-what-does-his-tweet-signal-ahead-of-q3-earnings">posted an image</a> of a TIME magazine cover featuring a blank computer screen and a video player paused at the 1:09 mark of a 4:20-long video. Chewy shares traded lower on the post.
Chewy reported mixed quarterly financials last week, beating on earnings but missing on revenue. The company guided for fourth-quarter revenue of $3.18 billion to $3.2 billion versus estimates of $3.17 billion.
Following the print, Goldman Sachs lifted its <a href="https://www.benzinga.com/analyst-stock-ratings">price target</a> to $40, RBC Capital raised its target to $42 and JPMorgan maintained an Overweight rating and moved its price target up to $38.

GameStop Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/GME#NYSE">GME</a>) shares are trading higher Wednesday after the company released its <a href="https://www.benzinga.com/general/gaming/24/12/42425015/gamestop-q3-earnings-revenue-miss-4b-cash-no-more-offerings-planned-in-fiscal-year">third-quarter financial results.</a> 
What To Know: GameStop reported net sales of $860.3 million for the third quarter, which was below analysts&#8217; consensus estimate of $887.7 million and down from $1.08 billion in the same quarter last year. 
Sales declined across all segments. Hardware and accessories generated $417.4 million in revenue, down from $579.4 million in the prior year. Software sales came in at $271.8 million, compared to $321.3 million last year. Collectibles revenue was $171.1 million, a slight drop from $177.6 million last year, according to <a href="https://pro.benzinga.com/dashboard">Benzinga Pro.</a>
Despite lower revenue, the company reported a net income of $17.4 million in the third quarter, a reversal from a net loss of $3.1 million in the prior year. Adjusted earnings per share were 6 cents. 
GameStop ended the quarter with $4.62 billion in cash and cash equivalents, bolstered by a previously announced equity offering that raised $400 million in gross proceeds.
The company stated it does not anticipate any additional stock offerings during the current fiscal year.

Traders priced in near-certainty of a 25-basis-point rate cut at next week's Federal Reserve meeting, fueling optimism for a<a href="https://www.benzinga.com/economics/macro-economic-events/24/12/42436676/inflation-rises-as-expected-in-november-sustain-hopes-for-next-weeks-fed-interest-rate-cut"> more accommodating monetary policy.</a>
The Consumer Price Index rose by 2.7% year-over-year in November, matching expectations. Core inflation — excluding volatile items such as energy and food — remained steady at 3.3%.
Tech stocks took center stage as the Nasdaq 100 rallied 1.7%, notching a fresh record high and logging its best session in over a month. The so-called &#8220;Magnificent Seven&#8221; mega-cap stocks were the driving force behind the gains.
The Roundhill Magnificent Seven ETF (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MAGS#NASDAQ">MAGS</a>) jumped 2.6%, its best performance since Nov. 6, eyeing its eighth positive session in the last nine trading days.
Six of the seven mega-cap tech giants hit record highs, with the group's combined market cap reaching a staggering $17.3 trillion. Nvidia Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NVDA#NASDAQ">NVDA</a>) was the sole exception among the elite names.
The S&amp;P 500 joined the rally, climbing 0.9% and nearing its all-time highs. Small-cap stocks added 0.7%, while the Dow Jones Industrial Average remained flat, lagging behind its peers.
Improving rate-cut expectations — fed futures now almost fully pricing in a 25-basis-point rate cut next week — supported gold, with the yellow metal rising 0.9% to 2,717 per ounce, heading for a fourth straight session of gains.
Bullish sentiment returned to the crypto market, with Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>) rallying 4% to above $100,000 again, almost erasing losses from prior two sessions. 
Oil prices rose more than 2% on Wednesday, even as OPEC downgraded its global demand outlook for both 2023 and 2024.

The company reported adjusted EPS of 59 cents, beating the Wall Street view of 52 cents. Photronics reported quarterly revenues of $222.63 million, down 2% year-over-year. Sales beat the analyst consensus of $218.00 million. The revenue grew by 6% Q/Q.

The company ended the third quarter with cash and cash equivalents of $4.62 billion. In the third quarter, the company completed a previously disclosed at-the-market equity offering program that had aggregate gross proceeds of around $400 million.
