HomeXpress Mortgage Corp. ("HomeXpress"), a leading national originator of non-QM and business-purpose residential mortgage loans, today announced that it has entered into a definitive agreement to be acquired by Chimera Investment Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CIM#NYSE">CIM</a>) ("Chimera") from certain affiliates of Seer Capital Management's credit fund business ("Seer") and certain management sellers.
HomeXpress will operate as a subsidiary of Chimera under the continuing leadership of President and CEO Kyle Walker and the experienced HomeXpress management team.

HomeXpress Mortgage To Be Acquired By Chimera Investment Corp In Definitive Agreement; No Financial Terms Disclosed

Chimera Investment Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CIM#NYSE">CIM</a>) announced Thursday it will acquire HomeXpress Mortgage Corp., a non-QM and non-agency loan originator with a nationwide footprint <a href="https://www.benzinga.com/pressreleases/25/06/b45900081/chimera-investment-corporation-nyse-cim-chimera-announces-definitive-agreement-to-acquire-homexpre">spanning 46 states and Washington, D.C</a>.
The deal, signed on June 11, includes a payment of $120 million in cash and 2,077,151 shares of Chimera stock. It will be executed through Chimera's taxable REIT subsidiary, Chimera Funding TRS.
The acquisition will expand Chimera's access to mortgage loan origination and strengthen its securitization and servicing operations, aligning with its long-term growth strategy. The transaction is expected to close in the fourth quarter of 2025.

Chimera anticipates the deal will be earnings-accretive beginning in 2026. HomeXpress has operated profitably since its founding in 2016, generating $47 million in pre-tax income in 2024. 
The company originated $2.5 billion in loans last year and projects $3.5 billion in volume for 2025, supported by its strong broker and correspondent partner network.
Following the acquisition, HomeXpress will continue as a wholly owned subsidiary, with CEO Kyle Walker and his senior leadership team staying on to lead the business.
Chimera also plans to leverage existing net operating losses to offset the acquisition premium. It will gain additional revenue streams through origination fees and gain-on-sale income, helping diversify its earnings base.
CIM held cash and cash equivalents of <a href="https://www.benzinga.com/pressreleases/25/05/b45280351/chimera-investment-corporation-reports-1st-quarter-2025-earnings" target="_blank" rel="noreferrer noopener">$253.349 million</a> as of March 31, 2025.

Chimera Expands Mortgage Reach With HomeXpress Acquisition

Chimera Investment Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/CIM#NYSE">CIM</a>) ("Chimera") today announced that on June 11, 2025, it entered into a definitive agreement to acquire HomeXpress Mortgage Corp. ("HomeXpress") from certain affiliates of Seer Capital Management's credit fund business ("Seer") and certain management sellers (together with Seer, the "Sellers"). HomeXpress is a leading originator of consumer non-QM, investor business purpose, and other non-Agency mortgage loan products, as well as an originator of Agency mortgage loans with a nationwide presence across 46 states and D.C.

Key Transaction Details
Under the terms of the agreement, Chimera will cause its taxable REIT subsidiary, Chimera Funding TRS, to acquire HomeXpress from the Sellers for a combination of cash and 2,077,151 shares of Chimera common stock. The purchase price will be equal to the adjusted book value of HomeXpress as of the end of the month prior to the closing, plus a premium consisting of $120 million in cash plus 2,077,151 shares of Chimera common stock. HomeXpress will operate as a subsidiary of Chimera and Kyle Walker, the current President and CEO, along with key members of the senior management team will continue to manage HomeXpress. Chimera expects to close the transaction during the fourth quarter of 2025, subject to the satisfaction of customary closing conditions.

Shares of broader financial companies are trading higher following President Trump's decision to implement a 90-day pause on reciprocal tariffs for all countries except China.

A hotter-than-expected inflation report initially rattled markets on Wednesday morning, but investors found confidence to buy the dip, helping major indexes recover most losses by <a href="https://www.benzinga.com/government/regulations/25/02/43656846/inflation-rises-more-than-expected-in-january-chills-interest-rate-cut-hopes">midday trading in New York.</a>
The S&amp;P 500 was down 0.2%, while the Nasdaq 100 was flat, both rebounding from sharp declines following the January Consumer Price Index report. Small-cap stocks underperformed, with the Russell 2000 slipping 0.8%.
The headline CPI rose 3% year over year in January, surpassing both December's 2.9% reading and economist forecasts of 2.9%. On a monthly basis, inflation increased 0.5%, outpacing expectations of 0.3% and accelerating from December's 0.4% gain. This marked the fastest monthly inflation rate since August 2023.
Core inflation, which excludes food and energy, climbed to 3.3% year over year from 3.2% in December. On a monthly basis, core CPI increased 0.4%, exceeding estimates of 0.3% and doubling December's 0.2% rise.
Treasuries and interest rate markets reacted sharply to the inflation data. Traders scaled back expectations for Federal Reserve rate cuts, now projecting only one reduction by December 2025.
Treasury yields surged, reflecting heightened investor uncertainty. The 10-year Treasury yield jumped 10 basis points to 4.64%. The iShares 20+ Year Treasury Bond ETF (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TLT#NASDAQ">TLT</a>) fell 1%.
Despite rising Treasury yields and a stronger dollar, gold edged up 0.2% to $2,910 per ounce. Oil prices dropped 2% after reports that Donald Trump spoke with Russian President Vladimir Putin, fueling speculation about a potential ceasefire in Ukraine.
Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>) also rebounded from earlier session losses.
