<h3 class="wp-block-heading">New On The Block</h3>
Bankers say these biscuits are worth billions. The $1.5 billion asking price for Bojangles, the fried chicken and biscuit fast-food chain, is about triple what private equity firms Durational Capital Management and TJC paid in 2019—just four years after <a href="https://www.benzinga.com/news/15/05/5492635/bojangles-prices-ipo-at-19-high-end-of-range">the chain went public</a>.
According <a href="https://www.wsj.com/business/deals/bojangles-is-exploring-a-sale-while-the-fried-chicken-market-is-hot-5cc6fb9e?mod=e2tw">to</a> the Wall Street Journal, both strategic restaurant operators and private equity buyers are interested.
The North Carolina–based fast-casual brand has been expanding thanks to U.S. chicken chain sales spiking 9% last year. 
The potential sale comes amid a broader M&amp;A wave in the restaurant industry. Recent deals include Roark Capital's <a href="https://www.benzinga.com/markets/large-cap/25/06/45829771/heres-how-daves-hot-chicken-went-from-humble-beginnings-to-a-billion-dollar-food-empire">acquisition of</a> Dave's Hot Chicken, Blackstone's <a href="https://www.benzinga.com/markets/24/11/42167861/blackstone-takes-a-bite-out-of-jersey-mikes-with-8-billion-investment">stake in</a> Jersey Mike's, and Sycamore Partners' purchase of Playa Bowls. 
Meanwhile, Apollo (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/APO#NYSE">APO</a>) and Irth Capital have <a href="https://www.benzinga.com/m-a/25/06/45908298/papa-johns-takeover-rumors-swirl-but-doubts-are-creeping-in">made a $2 billion bid</a> for Papa John's (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PZZA#NASDAQ">PZZA</a>). As part of the agreement, Scale AI CEO Alexandr Wang will join Meta, although Meta will hold only non-voting stock and forgo governance rights such as board representation, veto power, or drag-along rights. These structural decisions are widely viewed as a strategy to avoid triggering antitrust concerns at a time when regulatory scrutiny of <a href="https://www.benzinga.com/topic/big-tech">Big Tech remains high</a>.</li>

<li>After over two years of corporate tug-of-war, Walt Disney Co (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DIS#NYSE">DIS</a>) has finally bought out Comcast's (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CMCSA#NASDAQ">CMCSA</a>) one-third stake in Hulu. According to Variety, Disney managed to haggle the price down. Instead of shelling out the full $27.5 billion valuation Comcast wanted, Disney — which had about $5.852 billion in cash on hand for the quarter ending March 31 — will pay about $9 billion for the stake. This includes an extra $438.7 million recently agreed upon after arbitration.</li>

The company, formed in 2019 through a KKR-led merger of Fiat Chrysler&#8217;s parts unit and a Japanese supplier, employs over 40,000 people globally.CEO David Slump said Marelli was already weakened by Covid-related supply chain disruptions when its financial position deteriorated further in March due to tariffs that hit import/export-dependent businesses like theirs especially hard. The firm, burdened with nearly $5 billion in debt, was also hurt by the prolonged semiconductor shortage. Despite the filing, Marelli plans to continue operating under a restructuring deal backed by over $1 billion in new financing.</li>

<li>Sunnova Energy International Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NOVA#NASDAQ">NOVA</a>), one of the largest rooftop solar companies in the U.S., has received court approval to begin using a $90 million bankruptcy loan to keep operating while it looks to sell its business under Chapter 11. Judge Alfredo Perez approved an initial $15 million draw, with the rest pending future approval. Earlier this week, a Bloomberg <a href="https://www.bloomberg.com/news/articles/2025-03-19/oaktree-buys-up-position-in-sunnova-debt-ahead-of-talks">report</a> suggested Oaktree Capital Management has been <a href="https://www.benzinga.com/news/25/03/44423358/sunnova-energy-nova-stock-is-volatile-whats-going-on">buying up debt in the company</a>.</li>

<h3 class="wp-block-heading">Benzinga: Where do you think the most consolidation is going to happen this year and next?</h3>
Lloyd: It&#8217;s going to be where all the money&#8217;s at. It&#8217;s going to be big tech. Take Apple (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AAPL#NASDAQ">AAPL</a>), Microsoft (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/MSFT#NASDAQ">MSFT</a>), Alphabet (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/GOOG#NASDAQ">GOOG</a>), Amazon (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/AMZN#NASDAQ">AMZN</a>) and add up all their cash accounts. If these tech giants are collecting 5% of their cash on interest, and interest rates drop at all, they will go out there and buy everything they can buy. I also think the most divesting will also happen in tech. These big corporations are too inefficient. They&#8217;re too big. 
<h3 class="wp-block-heading">BZ: What should they do?</h3>
Lloyd: The most efficient way is to <a href="https://www.benzinga.com/analyst-ratings/analyst-color/18/02/11119830/6-analysts-react-to-the-paypal-ebay-split">do something like</a> eBay (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/EBAY#NASDAQ">EBAY</a>) and PayPal (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PYPL#NASDAQ">PYPL</a>) did. There are all these ways you can break up your company and actually make more money and add more shareholder value. These guys can write $2 billion checks to these small, mid-cap companies and not even feel a single thing. They&#8217;re making more on their interest, on their cash accounts, than they are writing those checks. Divesting the big parts of tech will also happen, probably in the next couple of years. I&#8217;m not saying it will happen this year, but in the next couple of years — I talked about this on Fox Business, probably six months ago — Apple will get broken up to focus on growth areas, like AI. Apple is behind the eight-ball with AI compared to others. 
<h3 class="wp-block-heading">BZ: That&#8217;s something that Senator Bernie Sanders would like to <a href="https://www.politico.com/story/2019/07/16/bernie-sanders-facebook-google-amazon-1416786">hear</a>.</h3>
Lloyd: I&#8217;m not saying the government&#8217;s going to do it. I&#8217;m saying I think it&#8217;s in the company&#8217;s best interest. Corporations themselves should want to break up in some ways because they make more money and become more efficient. If they can lean up certain sectors and areas, they can actually be able to deliver more shareholder value.
<h3 class="wp-block-heading">BZ: We&#8217;re not hearing much of that conversation from big tech.</h3>
Lloyd: I&#8217;m not either. I just hope it happens to add more shareholder value. I think they&#8217;re too fat and fluffy, and I think that it&#8217;s definitely possible and something that could happen that I&#8217;m keeping an eye on.

Deal Dispatch: Chicken Chains, Solar Pains And Disney's Hulu Gains — Plus, Why Big Tech Should Break Up

Papa John's International Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PZZA#NASDAQ">PZZA</a>) shares are<a target="_blank" href="https://www.benzinga.com/movers" rel="noreferrer noopener"> trading lower on Thursday.</a>
On Wednesday, several media reports emerged that the company may be nearing a significant ownership change, as private equity giant Apollo Global Management, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/APO#NYSE">APO</a>) and Qatari-backed investment firm Irth Capital have reportedly joined forces to pursue a buyout of the pizza chain, valuing it at approximately $2 billion.
Semafor <a href="https://www.semafor.com/article/06/11/2025/papa-johns-pzza-apollo-take-private" target="_blank" rel="noreferrer noopener">reports </a>that the offer is in the low $60s per share, notably higher than the current stock price of around $48, citing sources familiar with the situation.
While Apollo has a history of large-scale acquisitions, Irth Capital is a much smaller player with less than $200 million in assets as of late 2023. Irth, backed by Sheikh Mohamed al Thani of Qatar's royal family, holds a 5% stake in Papa John's.
Following the reports, PZZA stock surged over 7% on Wednesday.

Despite its size, Irth has experience with consumer-focused turnarounds, having been involved in the acquisitions of Casper and Bojangles.
Irth reportedly still needs to secure financing for its portion of the proposed deal, Semafor adds.
If that doesn't materialize, Apollo could move forward on its own.
As of now, neither Apollo nor Papa John's have issued public statements, and Irth has not responded to requests for comment.
If a formal sales process is launched, more potential suitors could emerge. Inspire Brands, known for its acquisition of Dunkin' Donuts in 2020, may explore the opportunity, Semafor further adds.
Another possibility is Roark Capital, which recently completed a deal for Dave's Hot Chicken and owns Subway.
Papa John's franchising model, which licenses branding and ingredients to independent operators, aligns with their typical investment strategies, the report further states.
In 2018 and 2019, Papa John's faced a public controversy involving its founder, John Schnatter, who used a racial slur during a conference call, Reuters reports. The incident led to legal disputes and, ultimately, a deal with activist investor Starboard Value, whose CEO took over as chairman of the board in 2019 following Schnatter's departure.
Although Starboard helped stabilize Papa John's, industry observers believe more changes are needed—fueling speculation of a potential take-private move to enable deeper restructuring out of public view, Reuters adds.
Under current CEO Todd Penegor, Papa John's has made notable performance improvements, though its stock continues to trade at a slight discount compared to peers like Yum! Brands Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/YUM#NYSE">YUM</a>) and Domino's Pizza Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/DPZ#NYSE">DPZ</a>).

A sharp divide is emerging on Wall Street. Bank of America's strategist Michael Hartnett says that President Donald Trump&#8216;s economic policies are lifting capital-rich tech giants rather than <a href="https://www.benzinga.com/topic/michael-hartnett">domestically focused small caps.</a>
&#8220;It&#8217;s&nbsp;like&nbsp;the&nbsp;&#8217;80s deregulation boom and&nbsp;the&nbsp;&#8217;90s tech boom all at the same time,&#8221; the expert said.
<h3 class="wp-block-heading">Wall Street's New Divide: &#8220;Bro Billionaires&#8221; Vs. The Trump&#8217;s &#8220;Base&#8221;</h3>
In his latest &#8220;The Flow Show,&#8221; Hartnett introduced what he calls the "bro billionaire" stock basket, an equal-weighted group including Nvidia Corp. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/NVDA#NASDAQ">NVDA</a>), Meta Platforms Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/META#NASDAQ">META</a>), Tesla Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TSLA#NASDAQ">TSLA</a>), Palantir Technologies Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/PLTR#NYSE">PLTR</a>), Interactive Brokers Group Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/IBKR#NASDAQ">IBKR</a>), Bitcoin (CRYPTO: <a class="ticker" href="https://www.benzinga.com/quote/btc/usd">BTC</a>), ARK Innovation ETF (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/ARKK#NYSE">ARKK</a>), Coinbase Global Inc. Since the 2024 U.S. election, this basket is up 45%.
By contrast, the Russell 2000 index — which Hartnett associates with Trump's electoral "base" — has fallen 7% over the same period.
&#8220;Tariffs, tax cuts, reshoring, deregulation, but no bid for the little guys,&#8221; Hartnett said.
<h3 class="wp-block-heading">Dollar Drops Despite 5% Yields</h3>
The U.S. dollar continues to slide, down 8.9% year to date, even as 30-year Treasury yields remain near 5%. Hartnett sees this as the product of fiscal disarray, not monetary misstep.
Hartnett indicated that Trump's approach combines aggressive tax cuts with high spending, a mix that resembles both Republican and Democratic fiscal strategies.
&#8220;U.S. dollar breaking down despite 5% Treasury yields as DOGE replaced by deficits &amp; tax cuts,&#8221; he said.
&#8220;DOGE was a bust, tariffs are a bust, so only way he gets the deficit down to 3% of GDP is via max pumping GDP and hoping Bessent can sweet talk the [bond] vigilantes,&#8221; he added.
According to Hartnett a weaker dollar is bullish for gold, emerging markets, and international equities. 
Hartnett continues to back his BIG allocation—bonds, International, and Gold—a theme he&#8217;s been pushing since early spring.
 "Profits and policy keep us long weak dollar plays, gold, EM, international," Hartnett stated.
Hartnett noted that gold-related funds have attracted $75 billion in inflows year-to-date, marking the largest influx on record.

Trump's Policies Power 'Bro Billionaires' While Main Street Stocks Lag, BofA's Hartnett Says

With alternative assets hurtling towards the $20 trillion mark, VanEck is offering investors a fresh opportunity to catch the private market wave — without taking a seat at the private equity table.

All of these high-return, high-flying strategies shared a common thread. Leveraged buyouts, distressed investing and risk arb were all just variations on the value investing theme.
The private equity giants of today are still doing this. Thanks to their quarterly filings, you can copy their investment approach—a strategy that has beaten the markets 4-to-1 since 2001.
Even the creation of the junk bond market was based on Michael Milken&#8217;s studies on the returns from buying undervalued lower-rated bonds, a strategy founded on basic value investing principles.
The big winners in all these strategies took value investing and added debt.
It was like adding nitro to the tank of a stock car. If you could control the vehicle at high speed through the corners, there was no race you couldn&#8217;t win.
Although the golden age of risk arb and the smaller investors&#8217; ability to compete in distressed debt are all behind us, we can still use the combination of debt and value investing to beat the index by a wide margin.
When the 13F filings come out every quarter, most of the short-attention-spans in the market today head for the same filings at the same time.
Warren, Cathie, Stanley, Tepper and Seth still get all the attention.
I may get around to those at some point, but one of the first places I turn is to the leading private equity firms.
Firms like Apollo Global Management (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/APO#NYSE">APO</a>), Blackstone (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/BX#NYSE">BX</a>) and KKR (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/KKR#NYSE">KKR</a>) still use basic principles of value investing along with a healthy dose of debt to drive massive returns for themselves and their investors.

Loeb's Third Point Boosts Apollo Stake 275%, Soho House 121% In Q1 Bet

Amid tariff concerns, activist investor Dan Loeb‘s Third Point LLC made significant changes, shedding stakes or exiting major Magnificent Seven stocks <a href="https://www.benzinga.com/topic/dan-loeb">during the first quarter of 2025</a>.
What Happened: A 13F <a href="https://www.sec.gov/Archives/edgar/data/1040273/000108514625003337/xslForm13F_X02/infotable.xml">filing </a>released Thursday shows that Third Point completely exited its positions in Meta Platforms Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/META#NASDAQ">META</a>) and Tesla Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TSLA#NASDAQ">TSLA</a>) during the first quarter of 2025. The hedge fund had <a href="https://www.sec.gov/Archives/edgar/data/1040273/000108514625001713/xslForm13F_X02/infotable.xml">previously </a>held 665,000 shares of Meta and 500,000 shares of Tesla at the end of the fourth quarter of 2024.
The investor also fully exited its position in Workday Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/WDAY#NASDAQ">WDAY</a>) in Q1, selling all 500,000 shares it held as of the fourth quarter of 2024.

Loeb's Third Point Exits Meta, Tesla, Rotates Into Staples, Telecom, Industrials

On CNBC's &#8220;<a href="https://www.cnbc.com/video/2025/05/14/final-trades-apollo-global-goldman-sachs-taiwan-semi-and-zoom-communications.html">Halftime Report Final Trades</a>,&#8221; Bryn Talkington, managing partner at Requisite Capital Management, said Apollo Global Management, Inc. (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/APO#NYSE">APO</a>) reported strong fee-related earnings. &#8220;I think the stock can <a href="https://www.benzinga.com/quote/APO/earnings">be in the 150s,&#8221; she added.</a>
On May 2, Apollo Global Management posted stronger-than-expected revenue for the first quarter.

CNBC Halftime Report Final Trades: Apollo Global Management, Goldman Sachs Group, Taiwan Semiconductor Manufacturing, Zoom Communications

The latest round of the U.S.-China tariffs are "destructive" to American small businesses, investor and "Shark Tank" star <a href="https://www.benzinga.com/news/25/02/43978834/kevin-oleary-says-government-needs-more-more-cutting-urges-slashing-and-hacking-to-fix-federal-spending">Kevin O'Leary</a> said on <a href="https://transcripts.cnn.com/show/cnc/date/2025-04-22/segment/04">CNN</a> on April 22.
His remarks come amid escalating trade tensions between the two countries. On April 9, the White House <a href="https://www.whitehouse.gov/presidential-actions/2025/04/modifying-reciprocal-tariff-rates-to-reflect-trading-partner-retaliation-and-alignment/">announced</a> a tariff hike on Chinese goods from 84% to 125%. The next day, China's Ministry of Commerce hit back with an 84% tariff on U.S. products.

He said, "So, I&#8217;m very happy that some administration, this one particularly, is taking them on to resolve this problem once and for all. And [Chinese President Xi Jinping] needs the U.S. and the U.S. needs Xi. So, let&#8217;s get this thing resolved. I&#8217;m OK with the volatility." He also urged policymakers to "circle the wagons" with U.S. allies.&nbsp;
O'Leary described the current market swings as a necessary step toward addressing what he called decades of imbalanced trade practices. He also proposed a 400% blanket tariff, emphasizing that "only shock therapy forces change."
<h2 class="wp-block-heading">Tariffs, Tensions And The Toll</h2>
O'Leary's frustration stems from firsthand experience. "I'm an example of someone who's really been screwed by the Chinese in IP. theft," he said, emphasizing a need to focus on policy over personality.

Household sentiment followed the headlines. The University of Michigan's <a href="https://www.sca.isr.umich.edu/">consumer sentiment index</a> showed its expectations index down 32% since January, while inflation expectations soared to 6.5%—the highest since 1981.&nbsp;
On April 22, the International Monetary Fund <a href="https://www.imf.org/en/Blogs/Articles/2025/04/22/the-global-economy-enters-a-new-era">slashed</a> its global trade-growth outlook to 1.7%, blaming what it called &#8220;the most intense bilateral tariff standoff of the century.&#8221;&nbsp;
Markets echoed the anxiety. Bloomberg estimated a<a href="https://www.bloomberg.com/news/articles/2025-04-09/goldman-sachs-sees-65-chance-of-us-recession-in-next-12-months"> 45% chance</a> of a U.S. recession within the next 12 months, largely attributed to a &#8220;tariff-induced demand shock.&#8221;&nbsp;

Corporate earnings also hinted at trouble: PepsiCo (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/PEP#NASDAQ">PEP</a>) warned in its<a href="https://investors.pepsico.com/docs/default-source/investors/q1-2025/q1-2025-earnings-release_qrwd2bctzikuphl4.pdf"> Q1 earnings report</a> that rising supply-chain costs could keep core EPS flat for 2025, while Procter &amp; Gamble (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/PG#NYSE">PG</a>) announced a<a href="https://us.pg.com/newsroom/news-releases/PG-Announces-Fiscal-Year-2025-Third-Quarter-Results"> 2% revenue dip</a> tied to tariffs and freight surcharges.
Beijing <a href="https://english.mofcom.gov.cn/News/PressConference/art/2025/art_3f539956ed274e34b61d9b4df5634677.html">moved to soften some</a> blowback by exempting certain U.S. medical devices from its 125% tariff.
Cargo statistics tell the same story. Analysts at <a href="https://www.apolloacademy.com/trade-between-china-and-the-us-collapsing/">Apollo Global Management</a> (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/APO#NYSE">APO</a>) warned that container bookings from <a href="https://www.benzinga.com/personal-finance/25/03/44281204/jack-ma-xi-jinping-and-the-53b-ai-bet-alibabas-comeback-signals-a-new-era-for-chinese-big-tech">China</a> to U.S. ports have plunged to pandemic-era lows, potentially triggering &#8220;COVID-like shortages" within a few weeks.

'I'm OK With The Volatility' — Kevin O'Leary Defends Trump Tariffs And Urges U.S. To 'Circle The Wagons' Against China

Landsea Homes (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/LSEA#NASDAQ">LSEA</a>) shares are trading higher on Tuesday. On Monday, the company inked a definitive deal to be acquired by Apollo Global Management, Inc.&#8216;s (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/APO#NYSE">APO</a>) managed portfolio company of funds, New Home, for an enterprise value <a href="https://www.benzinga.com/pressreleases/25/05/g45362998/new-home-co-to-acquire-landsea-homes-corporation-creating-a-top-25-national-homebuilder" target="_blank" rel="noreferrer noopener">of around $1.2 billion</a>.
As per the deal, New Home will acquire Landsea Homes for $11.30 per share in an all-cash transaction.
This purchase price represents a premium of around 61% to Landsea Homes&#8217; closing share price on May 12, 2025, the last trading day before the announcement.

Upon completion of the transaction, Landsea Homes will become a privately held company, and its common stock will no longer be listed on Nasdaq.
This transaction is supported by Apollo Funds, the majority shareholder of New Home since 2021, who are committing $650 million of new cash equity to facilitate this credit-enhancing transaction and position the business for future growth.
The transaction has been unanimously approved by the Landsea Homes Board of Directors and is expected to close early in the third quarter of 2025, subject to customary closing conditions.
Following the successful completion of the tender offer, New Home will acquire all remaining shares not tendered through a second-step merger at the same price.
The combined entity is expected to provide homebuyers with a wide array of housing choices, including single-family detached and attached homes, across rapidly expanding markets in Arizona, California, Colorado, Florida, Oregon, Texas, and Washington.
This combination will establish an asset-light, returns-focused homebuilder with nearly 4,000 annual closings.
John Ho, Chief Executive Officer of Landsea Homes said, &#8220;We believe this transaction with New Home will deliver immediate cash value to our stockholders at a significant premium and provide us with a strong, well-capitalized partner to accelerate our next phase of growth.&#8221;
In a separate release, Landsea reported first-quarter 2025 adjusted loss per share of 5 cents, exceeding the consensus estimate of 9 cents loss, while sales&nbsp;of $310.8 million <a href="https://www.benzinga.com/pressreleases/25/05/g45364862/landsea-homes-reports-first-quarter-2025-results" target="_blank" rel="noreferrer noopener">missed the Street view of&nbsp;$312 million</a>.
Price Action: LSEA shares are up 60.2% at $11.24 at the last check on Tuesday.
