The transaction is projected to close in the second half of 2025 and is expected to result in around $325 million in <a target="_blank" href="https://www.benzinga.com/calendars/guidance" rel="noreferrer noopener">after-tax proceeds for Amentum</a>.
Adam Harrison, Senior Vice President of Strategy and Corporate Development, said, &#8220;The divestiture of Rapid Solutions sharpens Amentum&#8217;s focus on mission critical services and reinforces our position as a global pure-play provider of advanced engineering and technology-enabled solutions.&#8221;&nbsp;
As of March 31, Lockheed Martin had cash and <a target="_blank" href="https://www.benzinga.com/pressreleases/25/04/n44918859/lockheed-martin-reports-first-quarter-2025-financial-results" rel="noreferrer noopener">cash equivalent of $1.80 billion</a>.
Amentum plans to release results for the second quarter of <a target="_blank" href="https://www.benzinga.com/earnings" rel="noreferrer noopener">the FY25 on May 7, 2025</a>.

Advance Auto Parts Inc. Advance Auto Parts Accelerates Growth Plan With 130+ New Stores By 2027

Unifirst Corporation (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/UNF#NYSE">UNF</a>) shares are trading lower premarket on Tuesday.
On Monday, Cintas Corporation (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/CTAS#NASDAQ">CTAS</a>) disclosed ending discussions regarding its proposal to acquire UniFirst&nbsp;<a target="_blank" href="https://www.benzinga.com/pressreleases/25/03/b44464633/cintas-terminates-discussions-with-unifirst" rel="noreferrer noopener">for $275 per share in cash</a>.
The offer represented a 46% premium over UniFirst&#8217;s 90-day average closing price as of January 6, 2025, the last trading day before the <a target="_blank" href="https://www.benzinga.com//node/42844424" rel="noreferrer noopener">proposal was publicly disclosed.</a>
Todd Schneider, President and Chief Executive Officer of Cintas, said, &#8220;We have engaged with UniFirst and its advisors over the past several weeks in an effort to reach a mutual agreement regarding a transaction that we believe offers tremendous value for customers and shareholders.&#8221;
&#8221;While we continue to believe in the merits of a transaction, we were unable to have substantive engagement with UniFirst regarding key transaction terms. We do not believe further discussions are warranted at this time.&#8221;
Notably, in January, Cintas submitted the acquisition proposal and UniFirst&nbsp;rejected the proposition, claiming it was&nbsp;<a target="_blank" href="https://www.benzinga.com//node/42852132" rel="noreferrer noopener">not in the best interests of the company and its shareholders.</a>
UniFirst&#8217;s cash, cash equivalents, and short-term investments totaled&nbsp;$181.0&nbsp;million&nbsp;as of November 30, with no long-term debt outstanding.

(NYSE:<a class="ticker" href="https://www.benzinga.com/stock/OMI#NYSE">OMI</a>) shares dipped premarket on Monday after the company disclosed preliminary results and financing for the previously announced <a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/b43429536/owens-minor-launches-financing-for-rotech-acquisition-and-provides-preliminary-fourth-quarter-and-" rel="noreferrer noopener">Rotech Healthcare Holdings, Inc</a><a target="_blank" href="https://www.benzinga.com/pressreleases/25/02/b43429536/owens-minor-launches-financing-for-rotech-acquisition-and-provides-preliminary-fourth-quarter-and-" rel="noreferrer noopener">. buyout</a>.
Edward A. Pesicka, President &amp; Chief Executive Officer of Owens &amp; Minor, said, &#8220;We are commencing a process to raise additional debt while the capital markets are attractive, to finance our previously announced agreement to acquire Rotech which we continue to expect will close in the first half of 2025.&#8221;
&#8221;Our healthy free cash flow provides the vehicle for this proposed financing as well as helping us achieve our deleveraging goals over the next few years.&#8221;&nbsp;

Preliminary Results: For the fourth quarter, Owens &amp; Minor sees revenue of&nbsp;$2.67 billion – $2.70 billion (vs. consensus of&nbsp;$2.731 billion) and adjusted EPS&nbsp;of $0.52 –$0.55&nbsp;(compared<a target="_blank" href="https://www.benzinga.com/calendars/guidance" rel="noreferrer noopener"> to the street view of&nbsp;$0.53)</a>.
For 2024, the company stated preliminary revenue of $10.67 billion &#8211; $10.70 billion (vs. $10.736 billion estimate) and adjusted EPS of $1.50 &#8211; $1.53 (vs. consensus of $1.51).
The company expects to witness a non-cash goodwill impairment charge of around $310 million within its Apria division, or a net loss of about $4.00 per share.
This reflects financial market changes in the fourth quarter of 2024, which include a decline in Owens &amp; Minor&#8217;s stock price, rising interest rates, and anticipated pricing changes in a capitated contract.
Pesicka added, &#8220;We are particularly excited about the full-year performance of our Patient Direct segment which posted solid mid-single digit growth, and even higher in key categories.&#8221;
&#8221;In addition, we are pleased that in a year of meaningful reinvestment in the business we were able to reduce total debt by over $240 million.&#8221;
The company plans to report its fourth-quarter and full-year 2024 <a target="_blank" href="https://www.benzinga.com/earnings" rel="noreferrer noopener">financial results on February 28, 2025</a>.

Grocery wholesaler&nbsp;United Natural Foods Inc (NYSE:<a class="ticker" href="https://www.benzinga.com/stock/UNFI#NYSE">UNFI</a>) shares are trading higher after the company <a target="_blank" href="https://www.benzinga.com/pressreleases/24/12/b42409262/united-natural-foods-inc-reports-first-quarter-fiscal-2025-results" rel="noreferrer noopener">reported first-quarter FY25 earnings</a>.
The company reported a&nbsp;sales increase of&nbsp;4.2% year over year to&nbsp;$7.87&nbsp;billion,&nbsp;beating the analyst consensus estimate of&nbsp;$7.61 billion.
Revenue growth is driven by a 2% increase in wholesale unit volumes, boosted by new business from both existing and new customers, along with inflation.
Gross margin contracted to&nbsp;13.2%&nbsp;from&nbsp;13.6% last year due to weak product margin rates and business mix. The gross profit upped&nbsp;0.8% to&nbsp;$1.0 billion.
Adjusted EBITDA rose 14.5%&nbsp;to&nbsp;$134&nbsp;million. Adjusted EPS of&nbsp;$0.16 <a target="_blank" href="https://www.benzinga.com/earnings" rel="noreferrer noopener">beat the consensus loss estimate of&nbsp;$0.01</a>.
Free cash flow stood at&nbsp;$(159) million&nbsp;in the quarter. As of November 2, the company had approximately&nbsp;$37&nbsp;million&nbsp;in cash, plus the unused capacity of around $1.14&nbsp;billion&nbsp;under its asset-based lending facility.

In January, rental car giant Hertz Global Holdings, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/HTZ#NASDAQ">HTZ</a>) scaled back plans to buy 100,000 EVs after seeing that their resale plummeted much faster than expected, the New York Times<a href="https://www.nytimes.com/2024/07/14/business/electric-vehicles-rental-cars.html?partner=slack&amp;smid=sl-share"> reported.</a> 
A main reason why used EVs lose so much value is because Tesla, Inc. (NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/TSLA#NASDAQ">TSLA</a>) lowered the prices on new models last year to boost sales, the New York Times reported.
This has left many rental car outfits scrambling to resell EVs at deep discounts and apprehensive to start buying more of them.
EV manufacturers have sold 1.4% of their cars and trucks to rental companies so far this year, down from selling 4% of them in 2023, according to S&amp;P Global Mobility. So far this year, that number is just 1.4 percent.
