(NASDAQ:<a class="ticker" href="https://www.benzinga.com/stock/ATSG#NASDAQ">ATSG</a>) shares are trading higher after the company disclosed that it will be acquired by <a target="_blank" href="https://www.benzinga.com/pressreleases/24/11/b41712991/atsg-to-be-acquired-by-stonepeak-for-3-1-billion" rel="noreferrer noopener">Stonepeak </a><a target="_blank" href="https://www.benzinga.com/pressreleases/24/11/b41712991/atsg-to-be-acquired-by-stonepeak-for-3-1-billion" rel="noreferrer noopener">for around $3.1 billion</a>.
According to the definitive agreement, unanimously approved by ATSG&#8217;s Board of Directors, ATSG common shareholders will receive $22.50 in cash per share.
This purchase price reflects a premium of about 29.3% over ATSG&#8217;s closing share price on November 1, 2024, and a 45.5% premium over the volume-weighted average price (VWAP) of the previous ninety trading days.
Once the transaction is finalized, ATSG&#8217;s shares will no longer be listed on NASDAQ, and the company will operate as a private entity.
